Fiat Parent definition

Fiat Parent means Fiat S.p.A., a Societa per Azioni organized under the laws of Italy.
Fiat Parent has the meaning given to it in the recitals hereto.
Fiat Parent has the meaning given to it in the recitals hereto. "Fiat Technology" has the meaning given to it in Section 6.4. "Fiat Termination" has the meaning given to it in Section 6.2. "FPT" has the meaning given to it in the preamble hereto.

  • The Company shall appoint a Tax Matters Member as the “tax matters partner” of the Company, as such term is defined under the Code, and each of the Company and the Members hereby agrees to appoint Fiat (or such other Affiliate of Fiat Parent that is a Member and as Fiat Parent may designate) as such Tax Matters Member so long as Fiat (or such other Affiliate) remains a Member of the Company.

  • The Board of Directors, including a Fiat Director, shall adopt corporate ethics, anti-bribery, anti-corruption, safety, environmental and other policies at least equivalent to those applicable to Fiat Parent.

  • Fiat agrees that the rights and obligations set forth in the prior sentence will apply to the Fiat Parent (i.e., Fiat Parent and its Affiliates will not solicit employees of Chrysler and Chrysler will not solicit employees of Fiat Parent or its Affiliates).

  • For the avoidance of doubt, any of the Officers, including the Chief Executive Officer, may be employees of Fiat Parent or any of its Affiliates.

  • Appointment of a Chief Executive Officer will require the prior written approval of Fiat Parent.

  • Any seconded Officer may receive supplemental employment compensation from Fiat Parent or any of its Affiliates related to such secondment.
