The Customs Broker shall issue invoices to the Client for all Fees and Disbursements pertaining to the Services.
Charges for the Services rendered will be made in accordance with the Contract Price indicated in Attachment “A”, or, if no Contract Price is indicated, in accordance with Stantec’s Schedule of Fees and Disbursements in effect from time to time as the Services are rendered.
Promptly upon receipt of invoices hereunder, the Client shall pay to the Customs Broker, in cash or by other immediately available and irrevocable funds delivery as agreed to by the Customs Broker, as and when due in accordance herewith, all Fees and Disbursements for the Services without any reduction, deduction, set-off or deferment on account of any claim or counterclaim whatsoever.
For greater certainty, costs of general management, supervision, non-technical supporting services, general overhead, profit, financing, mobilization/demobilization, travel and all other items associated with the Services are deemed to be covered by the Fees and Disbursements and will not be subject to additional payment by the CSRD.
Subject to the terms of the Agreement, the TPA shall provide to the Practice Group in each Contract Year, Funds up to the amounts listed in the Annual Budget for Fees and Disbursements.
No increases in Fees and Disbursements will be accepted by the CSRD without prior written acceptance by the CSRD.
The representations, agreements, covenants and obligations set out in this Agreement shall survive the delivery of the performance of the Services and payment of the Fees and Disbursements.
Payment by the CSRD of the Fees and Disbursements will be full payment for the Services and the Contractor will not be entitled to receive any additional payment without the prior written approval of the CSRD.
The Manager reserves the right to increase the Schedules of Fees and Disbursements contained within this agreement by whatever GST percentage may be set by government at any future time.
The Purchaser shall not be responsible for any of the Fees and Disbursements in the event of a Special Termination.
