FCC Filing definition

FCC Filing means those filings, notices, petitions, statements, registrations, submissions of information, applications and other documents that may be required or advisable in order to obtain the FCC Consents.
FCC Filing has the meaning set forth in Section 6.1(1) hereof. ----------

Examples of FCC Filing in a sentence

  • The Company and Parent shall prosecute each FCC Filing with commercially reasonable diligence and otherwise use their commercially reasonable efforts to obtain the grants of the FCC Filings (the “FCC Approval”) as expeditiously as practicable.

  • Any Mexican FCC Filing Requirement relating to the transactions contemplated by this Agreement shall have been made.

  • The Sellers and the Company (or its qualified designee) shall make all filings with the FCC necessary to obtain FCC approval of the license transfers contemplated hereunder (the "FCC Filing") no later than [five (5)] days following the date on which this Agreement is fully executed by each of the Sellers and the Company.

  • Sharer shall have the right to terminate this Agreement at its election in its sole discretion prior to the Commencement Date, provided that in the event of termination by Sharer pursuant to this Section 5.1(b), ▇▇▇▇▇▇ shall promptly (and in all events within ten (10) Business Days) reimburse Sharer in an amount equal to the FCC Filing Fees paid by Sharer.

  • Notwithstanding the foregoing, Parent shall pay any and all fees and expenses, other than the Company’s attorneys’ fees, incurred in connection with the filing by the Parties of the HSR Filing, the Ex-U.S. Filings, the FERC Application, the NJDEP Application, the CFIUS Notice and the FCC Filing.

  • Notwithstanding the foregoing, either Party may disclose any information contained in the FCC Filing once such FCC Filing has been filed with the FCC.

  • Each Party (i) will fully cooperate with the other, and do all things reasonably necessary to timely submit the FCC Filing to the FCC, (ii) will promptly file or provide the other Party with all other information which is required to be provided to the FCC in furtherance of the transactions contemplated hereby; and (iii) will use reasonable commercial efforts to obtain the approvals and/or waivers from the FCC necessary to give effect to this Lease Agreement.

  • Purchaser shall pay all required FCC filing fees (the “FCC Filing Fees”), provided that Company shall be responsible for one-half of any such FCC Filing Fees.

Related to FCC Filing

  • RoC Filing means the date on which the Prospectus is filed with the RoC and dated in terms of Section 32(4) of the Companies Act, 2013;

  • Public Filings means the reports, schedules, forms, statements and other documents filed by the Company or Bezeq with the SEC or the ISA, as applicable, and publically available at least two (2) Business Days prior to the date of this Agreement.

  • SEC Filings has the meaning set forth in Section 4.6.

  • HSR Filing means filings with the United States Federal Trade Commission and the Antitrust Division of the United States Department of Justice of a Notification and Report Form for Certain Mergers and Acquisitions (as that term is defined in the HSR Act) with respect to the subject matter of this Agreement, together with all required documentary attachments thereto.

  • Governmental Filings means all filings, including franchise and similar tax filings, and the payment of all fees, assessments, interests and penalties associated with such filings with all Governmental Authorities.
