Factual material definition

Factual material means a coherent body of facts which can be separated from the rest of the advice or recommendations. Where factual material and advice or recommendations are contained in the same record, the advice or recommendations may be severed and withheld.

Where factual material and advice or recommendations are contained in the same record, the advice or recommendations may be severed and withheld. However, it may not be possible to sever advice and recommendations and still leave meaningful factual information. In this circumstance, severing may not be appropriate, and the information should not be disclosed.

  • ABS Informational and Computational Material means “ABS informational and computational material,” as defined in Item 1101(a) of Regulation AB under the 1933 Act and “Regulation AB” shall mean Subpart 229.1100 – Asset Backed Securities (Regulation AB), 17 C.F.R. §§229.1100-229.1125, as such rules may be amended from time to time, and subject to such clarification and interpretation as have been provided by the Commission or by the staff of the Commission, or as may be provided by the Commission or its staff from time to time, in each case as in effect on the date hereof and for which compliance is required as of the date hereof.
