Facility Co-Agent and each Lender shall execute all such instruments and documents as the Facility Agent or such Nominee may request with respect to the creation and governance of any Nominee, the exercise of the Lender Group's rights and remedies, and the disposition of any Post-Foreclosure Collateral.
If Facility Agent resigns under this Agreement, the Required Lenders shall appoint Facility Co-Agent or with the consent of Borrower (not to be unreasonably delayed or withheld) any Lender or Eligible Transferee as successor Facility Agent for the Lenders.
