Externalization definition

Externalization means that during the Term, the Company changes its management structure from an internally managed business development company to an externally managed business development company by entering into an investment advisory agreement with a third-party adviser (the “New Advisor”).
Externalization has the meaning set forth in the Recitals to this Agreement.
Externalization means the date on which the shareholders of the Company duly and validly approve a change in the management structure of the Company from an internally managed business development company to an externally managed business development company by approving the Company entering into an investment advisory agreement with a third-party external adviser. For the avoidance of doubt, the provisions of this Section 22.8 are applicable to the Series 2020 Notes, the Series 2022A Notes and any Additional Notes sold by the Company.

Examples of Externalization in a sentence

  • Rand shall have delivered evidence reasonably satisfactory to East that each Rand Benefit Plan has been terminated effective as of immediately prior to the Externalization and no payments have been or will be made under such Rand Benefit Plans by Rand or any other party in connection with such termination.
