The Extension Payment shall be applicable to the Purchase Price at Closing.
The Escrow Agent shall pay the Extension Payment to Seller at and upon the Closing, or otherwise, to the party entitled to receive the Extension Payment in accordance with this Agreement.
Buyer shall have until three (3) business days after receipt of Seller’s Title Response Notice to elect to proceed with the purchase or terminate this Agreement and receive a refund of the ▇▇▇▇▇▇▇ Money and any Extension Payment.
In the event of such termination, the Escrow Agent shall refund the ▇▇▇▇▇▇▇ Money and any Extension Payment to Buyer and neither party shall have any further rights or liabilities hereunder except as provided in Sections 2.2, 10.2 and 10.10 of this Agreement.
