Extended Redemption Date definition

Extended Redemption Date means, in respect of a Preference Share, 20 Business Days following the relevant Additional Delivery Cut-off Date, unless a Settlement Disruption Event has occurred, in which case the Extended Redemption Date will be the next day on which settlement of the Physical Redemption Assets can take place through the Clearing Systems, provided that if settlement is not possible for 10 successive Clearing Business Days following the originally scheduled date, it will be (i) the first day on which settlement can be effected in any other commercially reasonable manner (as determined by the Calculation Agent on behalf of the Company) or, (ii) if settlement cannot be effected in any other commercially reasonable manner (as determined by the Calculation Agent on behalf of the Company), the next day on which settlement of the Physical Redemption Assets can take place through the Clearing Systems;
Extended Redemption Date means the date that is up to two calendar years after the Scheduled Maturity Date or, if the Early Redemption Date falls prior to the Scheduled Maturity Date, up to two calendar years after such original Early Redemption Date.

Examples of Extended Redemption Date in a sentence

  • The redemption of the shares of Class B Convertible Preferred Stock upon the Extended Redemption Date shall take place at the principal place of business of the Corporation.

  • From and after the Extended Redemption Date, unless default shall be made by the Corporation on the Extended Redemption Date in providing funds for the payment of the Extended Redemption Amount payable, all rights of the holders of the shares of Class B Convertible Preferred Stock surrendered for redemption, except the right to receive the Extended Redemption Amount in respect of such shares, shall cease and terminate.

  • On the Extended Redemption Date, the Corporation shall tender the Extended Redemption Amount by check, subject to collection, against receipt of the certificate or certificates representing the shares of Class B Convertible Preferred Stock being redeemed.

  • Any shares of Series A Convertible Preferred Stock for which there is an Extended Redemption Date shall remain convertible by the Holder in accordance with Section 10 at any time to and including the day prior to the applicable Extended Redemption Date.

  • Such Event Notice must be given within 30 calendar days from the Date of Loss for such potential Earthquake Event but may not be given later than 10 Business Days prior to the later of the Scheduled Redemption Date and the Extended Redemption Date, as applicable.


More Definitions of Extended Redemption Date

Extended Redemption Date means with respect to any shares of Series A Convertible Preferred Stock to which Section 9 applies, the date that is 30 days after the date on which the Corporation is no longer restricted from redeeming shares of Series A Convertible Preferred Stock by reason of a restriction contained in Section 78.288 of the NGCL.
