Exit and Service Transfer Arrangements definition

Exit and Service Transfer Arrangements means the arrangements set out in Schedule 2-11 which shall apply in the event of the expiry or termination of this Contract.
Exit and Service Transfer Arrangements means the arrangements set out in Schedule 9 which shall apply in the event of the expiry or termination of this Contract.

  • The CUSTOMER shall for a period of twelve (12) months following expiry or termination (howsoever arising) of this Contract (or until the date on which the SERVICE PROVIDER fulfils all its duties and responsibilities pursuant to the Exit and Service Transfer Arrangements, if later) be entitled to require access to data or information arising from the Ordered IT Solutions from the SERVICE PROVIDER.

  • The Contract shall, if requested by the AUTHORITY in accordance with Schedule 9 (Exit and Service Transfer Arrangements), grant or procure the grant to the Replacement Contractor of a licence to Use any Contractor Software or Third Party Software on the Standard Licence Terms subject to the Replacement Contractor entering into reasonable confidentiality undertakings with the Contractor.

  • The CUSTOMER shall for a period of twelve (12) months following expiry or termination (howsoever arising) of this Contract (or until the date on which the SERVICE PROVIDER fulfils all its duties and responsibilities pursuant to the Exit and Service Transfer Arrangements, if later) be entitled to require access to data or information arising from the Ordered Software Application Solutions from the SERVICE PROVIDER.

  • Interlocal Agreement means an agreement entered into under this act.

  • Change in Control Agreement means a written Change in Control Agreement between an employee and the Company or an Affiliate.

  • Transition Services Agreements means any agreements that receive the prior approval of the Commission between Respondents and an Acquirer to provide, at the option of the Acquirer, Transition Services (or training for an Acquirer to provide services for itself), necessary to transfer the Retail Fuel Assets to the Acquirer and to operate the Retail Fuel Outlet Businesses in a manner consistent with the purposes of this Order.

  • Lock-Up Agreement means the Lock-Up Agreement, dated as of the date hereof, by and among the Company and the directors and officers of the Company, in the form of Exhibit B attached hereto.

  • Backstop Agreement has the meaning set forth in the recitals to this Agreement.

  • Financing Arrangements means the arrangements between the Borrower and the State as per current policy of the Borrower, and acceptable to ADB;

  • Management Arrangements means the arrangements for the strategic management of the relationship between the Authority and the Contractor, including arrangements for monitoring of the Contractor’s compliance with the Specification, the Service Levels, the Award Procedures and the terms of this Framework Agreement, set out in Schedule 4.

  • Shareholder Agreements has the meaning set forth in the recitals to this Agreement.

  • Rollover Notification Date shall be defined as set forth in the Prospectus under "Summary of Essential Information."

  • Benefit Arrangements has the meaning set forth in Section 4.20(b).

  • Planning Agreement means an agreement, undertaking or obligation pursuant to the provisions of section 106 Town and Country Planning Act 1990 or section 111 of the Local Government Act 1972, section 33 of the Local Government (Miscellaneous Provisions) Act 1982 or an infrastructure agreement pursuant to section 38 or section 278 of the Highways Act 1980 or the section 104 of the Water Industry Act 1991;
