Exit ABL definition

Exit ABL shall have the meaning assigned to such term in the Recitals.
Exit ABL. Facility The senior secured asset-based revolving credit facility in an aggregate amount up to $400 million and otherwise on the terms set forth in the ABL Commitment Letter and pursuant to definitive documentation acceptable to the Required Consenting Stakeholders. Exit Facilities Collectively, the Exit ABL Facility, the First Out Term Loan Facility, and the Last Out Term Loan Facility. Lien Has the meaning set forth in section 101(37) of the Bankruptcy Code. Other Priority Claim Any Claim entitled to priority in right of payment under section 507(a) of the Bankruptcy Code, other than: (a) an Administrative Claim; or (b) a Priority Tax Claim, to the extent such Claim has not already been paid during the Chapter 11 Cases.

Examples of Exit ABL in a sentence

  • From and after the Effective Date, the Reorganized Debtors, subject to any applicable limitations set forth in any post-Effective Date agreement (including the Exit ABL Documentation, the Exit Term Loan Documentation, and the New Organizational Documents), shall have the right and authority without further order of the Bankruptcy Court to raise additional capital and obtain additional financing as the boards of directors of the applicable Reorganized Debtors deem appropriate.

  • Except to the extent that a Holder of an Allowed DIP ABL Facility Claim agrees to a less favorable treatment, in full and final satisfaction, settlement, release and discharge of each Allowed DIP ABL Facility Claim, on the Effective Date, each Holder of an Allowed DIP ABL Facility Claim will either: (a) be paid indefeasibly in full in Cash or (b) with the consent of such Holder, receive its Pro Rata share of the Exit ABL Facility.

  • On the Effective Date, the Exit ABL Facility Documents shall be executed and delivered by the Reorganized Debtors.

  • On and after the Effective Date, the relative Lien, payment, and enforcement priorities of (i) the Exit Term Facility and the Exit ABL Facility shall be governed by the terms of the Exit Intercreditor Agreement, and (ii) the Exit Term Facility, the Exit ABL Facility and the Subordinated Notes Facility shall be governed by the terms of the Subordinated Notes Intercreditor Agreement.

  • On and after the Effective Date, the relative Lien, payment, and enforcement priorities of the Subordinated Notes Facility, the Exit ABL Facility and the Exit Term Facility shall be governed by the terms of the Subordinated Notes Intercreditor Agreement.

  • On and after the Effective Date, the relative Lien, payment, and enforcement priorities of (i) the Exit ABL Facility and the Exit Term Facility shall be governed by the terms of the Exit Intercreditor Agreement, and (ii) the Exit ABL Facility, the Exit Term Facility and the Subordinated Notes Facility shall be governed by the terms of the Subordinated Notes Intercreditor Agreement.

  • The Exit Facilities shall consist of the Exit ABL Facility and the Exit Term Loan Facility.

  • On the Effective Date, the Exit Term Loan Lenders shall fund the Exit Term Loan Facility and the Exit ABL Lenders shall fund the Exit ABL Facility.

Related to Exit ABL

  • Exit ABL Facility means the asset-based revolving credit facility provided for under the Exit ABL Credit Agreement.

  • Exit Plan means the exit management plan developed by the Contractor and approved by the Authority in accordance with Clause 44 (Exit Management).

  • Exit Point means a border control post or any other place designated by a Member State where animals, falling within the scope of Regulation (EC) No 1/2005, leave the customs territory of the Union;

  • Exit Facility means a credit facility that will be entered into by the City, the Exit Facility Agent and the other financial institutions party thereto on the Effective Date on substantially the terms set forth on Exhibit I.A.119.
