Existing Parent Shares definition

Existing Parent Shares means all shares in the capital stock of LPRI, of any class, whether shares of common stock, par value US$0.01 per share or shares of preferred stock, par value US$0.01 per share (including shares of preferred stock of that certain series designated as Series A Junior Participating Stock), or otherwise, that are issued and outstanding immediately prior to the Effective Time, and for certainty does not include any New Shares in the capital stock of LPRI issued on the Plan Implementation Date pursuant to this Plan.

  • Each Stockholder owns all of his, her or its respective Existing Parent Shares, free and clear of all liens, encumbrances, charges, pledges and other security interests.

Related to Existing Parent Shares

  • Parent Shares means the shares of common stock, par value $1.00 per share, of Parent.

  • Acquisition Shares means the shares of an Acquiring Fund to be issued to the corresponding Target Fund in a reorganization under this Agreement.

  • Company Shares means the common shares in the capital of the Company;

  • Parent Warrants shall have the meaning assigned to it in Section 1.7(c) hereof.

  • Parent Shareholder Approval means the affirmative vote of the holders of a majority of the votes cast by holders of outstanding shares of Parent Stock on the proposal to approve the issuance of Parent Stock as provided in this Agreement at the Parent Special Meeting.

  • Merger Shares has the meaning set forth in Section 2.2(c).

  • Existing Shareholder means any Person that is a holder of Ordinary Shares as of December 8, 2017.

  • Existing Shareholders has the meaning set forth in the preamble.

  • Company Shareholders means the registered or beneficial holders of the Company Shares, as the context requires;

  • Company Shareholder Approval means the authorization and approval of this Agreement, the Plan of Merger and the Transactions, including the Merger, at the Company Shareholders’ Meeting by the Required Company Vote.

  • Company Share means one share of common stock of the Company, $0.01 par value per share.

  • Parent Warrant means each Parent Private Warrant and Parent Public Warrant.

  • Company Shareholder means a holder of one or more Company Shares;

  • Company Share Plans mean (a) the Company’s Stock Related Award Incentive Plan of 1999, as amended; (b) the Company’s 2010 Stock Incentive Plan, as amended; and (c) the Company’s 2015 Stock Incentive Plan, as amended;

  • Existing Warrants means any warrants to purchase Common Stock outstanding on the date of this Agreement.

  • Parent Stock means the common stock, par value $0.01 per share, of Parent.

  • Closing Shares shall have the meaning ascribed to such term in Section 2.1(a)(i).

  • Ordinary Shareholder means a holder of ordinary shares;

  • Common Shareholders means the registered and/or beneficial holders of the Common Shares, as the context requires.

  • Buyer Shares means the common stock, with a par value of $0.0001 per share, of Buyer.

  • Buyer Preferred Stock means the preferred stock, par value $0.001 per share, of Buyer.

  • Exchange Shares has the meaning set forth in Section 2.01(b).

  • Existing Shares means shares of the Company Common Stock Beneficially Owned by Stockholder as of the date hereof.

  • Purchaser Shares means the common shares in the capital of the Purchaser.

  • Ordinary Shareholders means holders of Ordinary Shares.

  • Purchaser Warrants means Purchaser Private Warrants and Purchaser Public Warrants, collectively.
