Existing Debts definition

Existing Debts means all the loan, interest, fee, expense, royalty, and other amounts accrued and outstanding under the Facility Agreement, dated as of March 16, 2022, by and among the Company, Yishengbio (Hong Kong) Holdings Limited, Yisheng US Biopharma Inc., Yisheng Biopharma (Singapore) Pte. Ltd., Liaoning Yisheng Biopharma Co. Ltd., Beijing Yisheng Biotechnology Co., Ltd., R-Bridge Investment Three Pte. Ltd. and R-BRIDGE Healthcare Fund, LP. (the “Facility Agreement”) and other Finance Documents (as defined in the Facility Agreement). The Company shall provide the Purchaser any and all the Facility Agreement and other Finance Documents and copies of all notices, compliance certificates or communications (including notices of default or events of default) to and from the creditor in connection with the Existing Debts. The Company agrees that any amendment, settlement or waiver under the Facility Agreement shall be subject to the Purchaser’s prior written approval.
Existing Debts means existing indebtedness of the Kaisa Group
Existing Debts shall have the meaning ascribed to such term in the preamble above.

Examples of Existing Debts in a sentence

  • On the Start Date, the Client assigns all Existing Debts, Future Debts and Non-Notifiable Debts to HIF (as beneficial owner in relation to Northern Irish Debts).

  • The Company shall provide the Purchaser any and all the Facility Agreement and other Finance Documents and copies of all notices, compliance certificates or communications (including notices of default or events of default) to and from the creditor in connection with the Existing Debts.

  • The Company will not be insolvent or unable to pay its debts as they fall due after the payment or repayment of the Existing Debts by using the proceeds from the sale of the Purchased Shares.

  • The Client will Notify all Existing Debts on the Commencement Date and will then Notify Debts at least every 7 days or as otherwise agreed with HIF.

  • Upon receipt from Purchaser of the Existing Debts in accordance with Sections 2.1, 2.2 and 2.3 hereof, the Company shall cancel each Existing Debt immediately.

  • Notwithstanding article 1.1.1 of the General Terms, as per this option, we agree to cover your Existing Debts.

  • Ownership of Existing Debts shall vest absolutely in Barclays on the date of this Agreement and Future Debts shall vest absolutely in Barclays automatically upon the creation of such Debts without any further act on the part of either the Company or Barclays.

Related to Existing Debts

  • Existing Debt means Debt of each Loan Party and its Subsidiaries outstanding immediately before the occurrence of the Effective Date.

  • Intercompany Indebtedness means Indebtedness of Company or any of its Subsidiaries which is owing to Company or any of its Subsidiaries.

  • Existing Indebtedness means all Indebtedness of the Company and its Subsidiaries (other than Indebtedness under the Credit Agreement) in existence on the date of this Indenture, until such amounts are repaid.

  • Existing Indebtedness Agreements shall have the meaning provided in Section 5.05.

  • Subordinated Liabilities means liabilities subordinated to the Borrower’s obligations to the Bank in a manner acceptable to the Bank in its sole discretion.
