Goodyear and each Borrower agrees to reimburse the Existing Administrative Agent and the New Administrative Agent for all reasonable out-of-pocket expenses incurred by it in connection with this Amendment Agreement, including the reasonable fees, charges and disbursements of Cravath, Swaine & Xxxxx LLP, Xxxxx & Xxxxx LLP and other counsel for the Existing Administrative Agent and the New Administrative Agent.
The Existing Administrative Agent, the Administrative Agent, the Collateral Agent and each of the Lenders party to the First Amendment have agreed to (a) amend the Existing Credit Agreement to provide for the 2018 Incremental Term Loans extended by the 2018 Incremental Term Lenders and (b) make certain other amendments to the Existing Credit Agreement.
Notwithstanding anything to the contrary in this Section, each Tranche B Lender shall be deemed to have satisfied its obligation hereunder to make its Applicable Percentage of the Tranche B Borrowings requested to be made hereunder upon receipt by the Existing Administrative Agent, pursuant to the Escrow Agreement and on behalf of the Borrower, of immediately available funds in an amount equal to such Tranche B Lender’s Applicable Percentage of the Tranche B Borrowings.
The Existing Administrative Agent shall bear no responsibility for any actions taken or omitted to be taken by the Successor Administrative Agent while the Successor Administrative Agent serves as Administrative Agent.
Furthermore, the Successor Administrative Agent acknowledges that it has, independently and without reliance upon the Existing Administrative Agent, conducted its own review of each of the Loan Documents and made its own decision to succeed the Existing Administrative Agent as the Administrative Agent under the Loan Documents.
