Exempt Registration definition

Exempt Registration means (i) a registration statement relating to the sale of securities by the Company pursuant to a stock option, stock purchase or similar benefit plan or an SEC Rule 145 transaction or (ii) a registration statement filed by the Company pursuant to the terms of the New Equity Registration Rights Agreement.
Exempt Registration means a Registration by the Company relating solely to the sale of Securities to participants in any employee equity incentive plan adopted by the Company.
Exempt Registration has the meaning set forth in Section 3.5.
