Exclusive Content definition

Exclusive Content means Content related to a Group Artist that Group or its Affiliates makes available to Company or an Affiliate thereof during the Term and with respect to which at least one of the following is true: (i) such Content has not been and is not available (whether for online or off-line use) and remains unavailable to any Person other than Company and/or its Affiliates; (ii) such Content has not been and is not available (whether for online or off-line use) and remains unavailable to any Person other than Company and/or its Affiliates for a period of time to be agreed on a case-by-case basis by, on the one hand, Company and/or its Affiliates and, on the other hand, Group or its Affiliate providing such Content; or (iii) such Content has not been and is not available and remains unavailable to any Person other than Company and/or its Affiliates for online use, although it is made available to other Persons solely for off-line use.

Exclusive Content means all content: prepared by or on behalf of a Producer; funded in whole or part by NZ On Air; and licensed exclusively to the Platform Owner, whether before or after the date of this agreement, including all forms of that content, all revisions to that content and all additional content reasonably required for the broadcast or publication of that content as intended under the applicable NZ On Air Funding Agreement.

  • Except as explicitly provided herein, nothing in this Agreement shall be deemed to create a license to the Exclusive Content, and you agree not to sell, license, rent, modify, distribute, copy, reproduce, transmit, publicly display, publicly perform, publish, adapt, edit or create derivative works from the Exclusive Content, including without limitation any materials or content accessible on the Service.

  • Use of the Exclusive Content or materials on the Service for any purpose not expressly permitted by this Agreement is strictly prohibited.

  • You agree to, upon request by RooM, promptly to provide and upload valid and binding (i) model releases for all Exclusive Content that contains an identifiable face or human figure and (ii) such property releases as RooM may, in its sole discretion, require excluding any Street (Editorial) Content.

  • The Exclusive Content is not subject to any threatened or pending claim or legal action.

  • MarketWatch shall have no responsibility for reproducing or reconstructing Thomson Content or Exclusive Content as it existed at any particular time, or for retaining archival copies of Thomson Content or Exclusive Content.

  • If a Rights Notice is issued in respect of any Exclusive Content then: the amendments to the Producer’s licence in clause 3.2 are applicable; and if requested in writing by the Producer of that Exclusive Content or NZ On Air, the Platform Owner will promptly (and in any event within 10 Business Days) give the Producer of that Exclusive Content copies of all of that Exclusive Content that is in the possession or control of the Platform Owner’s Group.

  • You agree that although RooM reviews submitted Exclusive Content to determine suitable Published Exclusive Content this is done as a matter of courtesy only.

  • The Thomson/MarketWatch Service shall include Thomson Content, MarketWatch Content and Exclusive Content, which shall be included, modified and/or integrated by MarketWatch to produce Service Content.

Related to Exclusive Content

  • Customer Content means any content that is uploaded onto the Services by Customer or otherwise used on or in connection with the Software.
