Excluded Personalty definition

Excluded Personalty means (a) artwork, supplies, signs, trade fixtures or equipment specifically identifying or relating to Seller or any of its Affiliates, and teller station computer hardware located at the Branches, (b) software, source and object code, user manuals and related documents and all updates, upgrades or other revisions thereto and all copies or duplicates thereof and (c) computers, printers, modems, peripheral equipment and other computer hardware, and (d) any other personal property of Seller located at the Branches identified on Schedule 1.1(g), less any such items consumed or disposed of, plus new similar items acquired or obtained, in the ordinary course of the operation of the Branches through the close of business on the Closing Date.

Excluded Personalty shall have the meaning given to such term in Section 2(a) hereof.

Excluded Personalty means any, furniture, furnishings, equipment or other personal property (including, without limitation, trade fixtures in, on, around or affixed to the Real Property) owned or leased by any Tenant, non Affiliate managing agent or leasing agent, or contractor at the Real Property (or any employee of the foregoing), including, without limitation, those items of personal property reflected on Schedule D attached hereto.

Examples of Excluded Personalty in a sentence

• Seller shall not be obligated to deliver to Buyer or make available for its review the Excluded Personalty.

• During the Due Diligence Period and, subject to Section 3.6 hereof, through Closing, Seller shall make available to Buyer any other such diligence items in Seller’s possession or control pertaining to the Property that are reasonably requested by Buyer other than the Excluded Personalty (such other items, together with items (i) through (v) in the previous sentence, collectively, the “ Due Diligence Items”).

Excluded Personalty means (a) artwork, signs or equipment specifically identifying or relating to Seller or any of its Affiliates located at the Branch Office, (b) software, source and object code, user manuals and related documents and all updates, upgrades or other revisions thereto and all copies or duplicates thereof, (c) any proprietary branch automation and systems, and (d) any other personal property of Seller located at the Branch Office and identified as "Excluded Branch Personalty" on Schedule 1.1(a) attached hereto.

Excluded Personalty shall have the meaning given to such term in Article 8 hereof.

Excluded Personalty means any and all fixtures, furniture, furnishings, equipment or other personal property (including, without limitation, trade fixtures in, on, around or affixed to the Building) owned or leased by Tenant or any managing agent, leasing agent, contractor or employee at the Building; provided however, that the Excluded Personalty shall not include, and Seller shall cause to be conveyed to Buyer, any personal property located at the Property that is owned by any managing agent to the extent that the cost of such personal property was paid for or reimbursed by Seller or its predecessor in title.
