Definition of Exchange Senior Secured Notes


Exchange Senior Secured Notes means senior notes issued by Exide U.S. pursuant to a registered exchange offer or private exchange offer for the Senior Secured Notes pursuant to the Senior Secured Notes Indenture, which senior notes are substantially identical securities to the Senior Secured Notes. In no event will the issuance of any Exchange Senior Secured Notes increase the aggregate principal amount of the Senior Secured Notes then outstanding or otherwise result in an increase in the interest rate applicable to such Senior Secured Notes.


Exchange Senior Secured Notes means senior secured notes issued in exchange for Senior Secured Notes, which Exchange Senior Secured Notes are substantially identical securities to the originally issued Senior Secured Notes, as contemplated by the registration rights agreement described in the Preliminary Offering Memorandum.

Examples of Exchange Senior Secured Notes in a sentence

The Exchange Senior Secured Notes will also be guaranteed by the Guarantor Subsidiaries.
Pursuant to a registration rights agreement, the Company is required to register an identical series of notes (the “Exchange Senior Secured Notes”) with the SEC and to offer to exchange those registered Exchange Senior Secured Notes for the Original Senior Secured Notes.
This Letter of Transmittal does not provide any tax disclosure to the Holders of Initial Senior Secured Notes or Exchange Senior Secured Notes.
If the Exchange Senior Secured Notes are to be issued, or if any Initial Senior Secured Notes not tendered for exchange are to be issued or sent to someone other than the Holder or to an address other than that shown above, the appropriate boxes on this Letter of Transmittal should be completed.
Notwithstanding the foregoing, you should understand that the Issuer will comply with all income tax and withholding requirements that apply to consideration received by Holders with respect to the Exchange Senior Secured Notes.
