Exchange Price Floor means the consolidated closing bid price for the Parent Common Shares as of 4 PM Eastern time on the Trading Day immediately prior to the Issue Date, as reported by The NASDAQ Global Select Market, as such price may be adjusted to account for subsequent share dividend, share split, share combination, reclassification or similar transaction;
Exchange Price Floor means $2.00, which represents the lower of (i) the Nasdaq Official Closing Price for the Parent Common Shares (as reflected on Xxxxxx.xxx) on the Subscription Date ($2.03) and (ii) the average Nasdaq Official Closing Price for the Parent Common Shares (as reflected on Xxxxxx.xxx) for the five Trading Days immediately prior to and ending on the Subscription Date ($2.00), as such price may be adjusted to account for subsequent share dividend, share split, share combination, reclassification or similar transaction;
