Exchange Note definition

Exchange Note means the Closed-End Exchange Note.

Exchange Note has the meaning specified in Section 4.1(a) of the Credit and Security Agreement.

Exchange Note means any Series B Note issued in exchange for an Original Note pursuant to the Exchange Offer or the Private Exchange.

More Definitions of Exchange Note

Exchange Note means any Note issued in exchange for an Original Note or Original Notes or an Additional Note or Additional Notes pursuant to the Exchange Offer or otherwise registered under the Securities Act and any Note with respect to which the next preceding Predecessor Note of such Note was an Exchange Note.

Exchange Note or a “Transfer Restricted Security” shall include a reference to the related Guarantee.

Exchange Note means any security of the Company to be offered to Holder in exchange for a Note of a series pursuant to the Exchange Offer or otherwise pursuant to a Registration, containing terms identical in all material respects to the Notes of such series for which they are exchanged, except that (i) interest thereon shall accrue from the last date on which interest was paid on the Notes or, if no such interest has been paid, from the date of issuance of the Notes and (ii) the Exchange Notes will not contain terms with respect to transfer restrictions or the payment of additional interest upon the occurrence of a Registration Default.

Exchange Note has the meaning specified in Section 11.3(a).

Exchange Note or "Exchange Notes" have the meaning provided in the preamble to this Indenture.

Exchange Note means the note (or, if more than one such note is outstanding, all such notes, including any Increasing Rate Notes and Fixed Rate Notes (unless the context otherwise requires)) issued under the Exchange Note Indenture in exchange for one or more Loans, substantially in the form attached as an exhibit to the Exchange Note Indenture.

Exchange Note means a note in definitive negotiable form evidencing all or a portion of the Revolving Facility Balance that is issued in accordance with Article Four of the Basic Collateral Agency Agreement and the related Exchange Note Supplement.
