  • From and after the ANDA Transfer, EVL shall be solely responsible for adverse event reporting to the FDA, investigation and analysis of end-user complaints and otherwise complying with Applicable Laws with respect to the Commercialization of the Product and ownership of the Regulatory Approval.

  • If a Catalyst Indemnitee or an EVL Indemnitee (the “Indemnitee”) intends to claim indemnification under this Article 10, it shall promptly notify the other Party (the “Indemnitor”) in writing of any such alleged Liabilities.

  • Without limiting the foregoing, any obligation or duty of EVL which is performed, satisfied or fulfilled by an Affiliate of EVL shall be deemed to have been performed, satisfied or fulfilled by EVL.
