Examples of Event Equity Value in a sentence
If any other Event of Default occurs and is continuing, the Purchaser, by written notice to the Borrower, may declare the principal of and interest on the Notes to be due and payable immediately or, if greater, an amount equal to the product of (y) the Event Equity Value and (z) the Underlying Shares issuable upon conversion of the principal amount of the Notes, plus all accrued but unpaid interest on the principal amount of the Notes, to be due and immediately payable.
Notwithstanding the foregoing, at any time or times following the occurrence and during the continuance of an Event of Default, in lieu of electing to require the Company to pay the aggregate Event Price in cash, the Investor may elect, by notice to the Company, to require the Company to convert all of the principal amount of this Note then outstanding, together with any accrued and unpaid interest hereunder, into shares of Common Stock at a conversion price equal to the Event Equity Value.
