ETP Merger Parties means ETP and ETP Merger Sub.
Merger Subsidiary shall have the meaning set forth in the preamble to this Agreement.

First Merger shall have the meaning given in the Recitals hereto.
Merger Sub 1 has the meaning set forth in the Preamble.
MergerSub has the meaning set forth in the Preamble.
Merger Closing shall have the meaning set forth in Section 2.2.
Merger Sub has the meaning set forth in the Preamble.
Company Merger shall have the meaning given in the Recitals.
MergerCo has the meaning set forth in the Preamble.
Second Merger has the meaning set forth in the Recitals.
Merger Sub I has the meaning set forth in the Preamble.
Merger Sub II has the meaning set forth in the Preamble.
Bank Merger Agreement has the meaning ascribed thereto in the recitals to this Agreement.
Acquisition Sub shall have the meaning set forth in the Preamble.
Merger Subs has the meaning set forth in the Preamble.
Merger Sub Board means the board of directors of Merger Sub.
Effective Time has the meaning set forth in Section 2.2.
Merger Closing Date the Closing Date (as defined in the Merger Agreement).
Merger Transactions means the Merger and the other transactions relating thereto or contemplated by the Merger Agreement.
Merger Effective Time shall have the meaning assigned to the term “Effective Time” in the Merger Agreement.
Effective Time of the Merger means the time as of which the Merger becomes effective, which shall occur on the Funding and Consummation Date.
Buyer Parties means Buyer, its respective Affiliates and the former, current or future equity holders and Representatives of each of the foregoing.
Parent Parties has the meaning set forth in ARTICLE V.
Cash Merger has the meaning set forth in Section 5.04(b)(ii).
Blocker has the meaning set forth in the preamble.
Surviving Partnership has the meaning set forth in Section 11.2.B(ii) hereof.
