Estimated Pro Rata Share definition

Estimated Pro Rata Share means the ratio calculated by dividing the total megawatts of the Customer’s Eligible TSR(s) listed in Table 1 of Exhibit B by the total megawatts of all Eligible TSRs listed in the Exhibit B’s of all 2013 Cluster Study Agreements offered to potential Study Participants.
Estimated Pro Rata Share means, as of any Distribution Date, for each Member holding Class A Units and/or Class B Units on such Distribution Date, the percentage (rounded to the nearest one-hundredth of one percent) equal to (i) the Aggregate Distribution Share applicable to all Allowed Claims with respect to which the Class A Units and Class B Units held by such Member were originally issued divided by (ii) the sum of (A) the Aggregate Distribution Share applicable to all Allowed Claims under the Plan as of such Distribution Date plus (B) the Aggregate Distribution Share that would be applicable to all Disputed Claims and Estimated Claims of such Distribution Date that the Board then estimates may become Allowed Claims under the Plan if all such Disputed Claims and Estimated Claims were to become Allowed Claims.
Estimated Pro Rata Share means, with respect to any Seller, the percentage set forth opposite such Seller’s name on the Estimated Sellers Allocation Schedule.

  • Applicable Commitment Percentage means, with respect to each Lender at any time, a fraction, the numerator of which shall be such Lender's Revolving Credit Commitment and the denominator of which shall be the Total Revolving Credit Commitment, which Applicable Commitment Percentage for each Lender as of the Closing Date is as set forth in Exhibit A; provided that the Applicable Commitment Percentage of each Lender shall be increased or decreased to reflect any assignments to or by such Lender effected in accordance with Section 11.1.

The principal portion of a Realized Loss on any Mortgage Loan allocated to the Class A Certificates pursuant to this definition of "Pro Rata Allocation" shall be allocated in reduction of the respective Class Principal Balances of the Subgroup 1, Subgroup 2 and Subgroup 3 Certificates as follows:

  • Purchase Price Percentage has the meaning assigned to such term in the Pricing Side Letter.

  • Applicable Percentage means, with respect to any Lender, the percentage of the total Commitments represented by such Lender’s Commitment. If the Commitments have terminated or expired, the Applicable Percentages shall be determined based upon the Commitments most recently in effect, giving effect to any assignments.

  • Allocable Portion for purposes of this Plan, means (1) if there is one Distributor, all Earned Distribution and Earned Servicing Fees; or (2) if there are two or more Distributors, the portion of the Earned Distribution Fee and Earned Servicing Fee allocated to a Distributor in accordance with any allocation procedures to which each Distributor shall agree and which accurately allocates the Earned Distribution and Earned Servicing Fees among all Distributors in proportion to the outstanding New Class X Shares attributable to their respective efforts.
