Estimated Net Debt Adjustment definition

Estimated Net Debt Adjustment shall have the meaning set forth in Section 1.6(a)(ii) of this Agreement.
Estimated Net Debt Adjustment means the amount by which the Estimated Net Debt is greater than the Reference Net Debt (in which case that amount is expressed as a positive figure) or by which it is less than the Reference Net Debt (in which case that amount is expressed as a negative figure);
Estimated Net Debt Adjustment is defined in Section 2.3.

  • The parties acknowledge and agree that, for purposes of the Closing Payment and Purchase Price calculations, the amount of the Estimated Net Debt Adjustment, the Estimated Working Capital Adjustment, the Final Net Debt Adjustment and the Final Working Capital Adjustment will be determined consistent with the calculation (and the components thereof) set forth on Exhibit K.

  • Estimated Adjustment Amount has the meaning set forth in Section 2.5(a).

  • Estimated Working Capital Adjustment shall have the meaning set forth in Section 2.2(b).

  • Consolidated Working Capital Adjustment means, for any period on a consolidated basis, the amount (which may be a negative number) by which Consolidated Working Capital as of the beginning of such period exceeds (or is less than) Consolidated Working Capital as of the end of such period.

  • Net Working Capital Adjustment means (a) the amount by which Net Working Capital as of immediately prior to the Closing exceeds Target Net Working Capital or (b) the amount by which Net Working Capital as of immediately prior to the Closing is less than Target Net Working Capital, in each case, if applicable; provided, that any amount which is calculated pursuant to clause (b) above shall be deemed to be a negative number.

  • Estimated Net Working Capital shall have the meaning set forth in Section 2.3(a).

  • Net Working Capital Adjustment Amount means an amount (which may be a positive or negative number) equal to (a) the Closing Date Net Working Capital minus (b) the Target Net Working Capital.

  • Net Adjustment Amount means an amount, which may be positive or negative, equal to the Closing Net Working Capital as finally determined pursuant to this Section 2.9 minus the Preliminary Net Working Capital as set forth on the Preliminary Closing Statement;

  • Total Intrinsic Loss Estimate means the sum of the SF1-4 Intrinsic Loss Estimate in the Single Family Shared-Loss Agreement, and the Commercial Intrinsic Loss Estimate in the Commercial Shared-Loss Agreement, expressed in dollars.

  • Adjusted Net Operating Income or “Adjusted NOI” means, for any period, the Net Operating Income of the applicable Hotel Properties for such period, subject to the following adjustments:

  • CPI Adjustment means the quotient of (i) the CPI for the month of January in the calendar year for which the CPI Adjustment is being determined, divided by (ii) the CPI for January of 2007.

  • Estimated Value means the value of the Contract estimated under these Contract and Procurement Regulations.

  • Estimated Cash has the meaning set forth in Section 2.4(a).

  • Closing Adjustment Amount shall have the meaning set forth in Section 2.3(b)(i)(A).

  • Cost of Living Adjustment means the percentage (if any) by which the Consumer Price Index for the month of October preceding the adjustment ex- ceeds the Consumer Price Index for the month of October one year before the month of October preceding date of the adjustment.

  • Target Net Working Capital Amount means $5,000,000.

  • Tax Adjustment has the meaning set forth in Section 4.7.

  • True-Up Adjustment means any Annual True-Up Adjustment or Interim True-Up Adjustment, as the case may be.

  • Estimated revenue means the amount of revenue estimated to be received from all sources during the budget year in each fund for which a budget is being prepared.

  • Consolidated Adjusted Net Worth means, as of any day for the Consolidated Group, the sum of (a) total shareholders’ equity or net worth plus (b) accumulated depreciation and accumulated amortization, in each case, determined on a consolidated basis in accordance with GAAP; but excluding, in any event, for purposes hereof, unrealized gains and losses on Swap Contracts reported on a consolidated balance sheet as accumulated other comprehensive income or loss.
