Estimated Closing Date Net Working Capital Adjustment Amount definition

Estimated Closing Date Net Working Capital Adjustment Amount means an amount, which may be zero, or positive or negative, equal to (a) Estimated Closing Date Net Working Capital minus (b) Closing Date Net Working Capital Target.
Estimated Closing Date Net Working Capital Adjustment Amount means an amount, which may be positive or negative, equal to (i) Estimated Closing Date Net Working Capital minus (ii) Closing Date Net Working Capital Target; provided that, if the preceding calculation results in an amount less than one million Dollars ($1,000,000), positive or negative, the Estimated Closing Date Net Working Capital Adjustment Amount shall be deemed to be zero.
Estimated Closing Date Net Working Capital Adjustment Amount means the value equal to the Estimated Closing Date Net Working Capital Amount minus the Net Working Capital Target, which is set forth in the Closing Notice.
