Escrow Funding Election definition

Escrow Funding Election has the meaning assigned to such term in Section 2.07(a).

  • If the Escrow Funding Election is made by MK Holdings, the obligations of each Term Loan Lender to make a Term Loan and of each Revolving Lender to make a Limited Condition Revolving Loan hereunder shall not be effective until the date on which each of the following conditions is satisfied (or waived in accordance with Section 9.02): (a) The Effective Date shall have occurred.

  • To the extent the Escrow Funding Election has been made by MK Holdings, the Lenders shall be deemed to have consented to, approved, accepted or be satisfied with, each document or other matter required hereunder that is consented to or approved by or satisfactory to the Administrative Agent, and hereby authorize the Administrative Agent to direct the Escrow Agent to release the Escrow Account Funds pursuant to the Escrow Agreement upon the satisfaction of the conditions set forth herein.

  • Pre-Funding Period The period from the Closing Date until the earlier of (i) the date on which the amount on deposit in the Pre-Funding Account is reduced to less than $50,000 or (ii) June 29, 2007.

  • Pre-Funding Account means the account designated as the Pre-Funding Account in, and which is established and maintained pursuant to Section 7.07.

  • Rollover Contribution Account means the separate Account maintained for a Member to record such Member's share of the Trust Fund attributable to any Rollover Contribution made to the Plan on his behalf.

  • 10) Election has the meaning set forth in Section 6.05(a).

  • Election Date has the meaning specified in Section 312(h).

  • Pre-Funding Earnings means any Investment Earnings on amounts on deposit in the Pre-Funding Account.

  • Pre-Funding Amount With respect to any date, the amount on deposit in the Pre-Funding Account.

  • Election Period shall have the meaning set forth in Section 14.3(a).

  • Interest Funding Account shall have the meaning specified in subsection 4.2(b).

  • Class A-PO Deferred Amount For any Distribution Date prior to the Subordination Depletion Date, the difference between (A) the sum of (x) the amount by which the sum of the Class A-PO Optimal Principal Amounts for all prior Distribution Dates exceeded the amounts distributed on the Class A-PO Certificates on such prior Distribution Dates pursuant to Paragraph third clause (2) of Section 4.01(a) and (y) the sum of the product for each Discount Mortgage Loan which became a Liquidated Loan at any time on or prior to the last day of the Applicable Unscheduled Principal Receipt Period for Full Unscheduled Principal Receipts for the current Distribution Date of (a) the PO Fraction for such Discount Mortgage Loan and (b) an amount equal to the principal portion of Realized Losses (other than Bankruptcy Losses due to Debt Service Reductions) incurred with respect to such Discount Mortgage Loan and (B) the sum of (x) the sum of the Class A-PO Recoveries for such Distribution Date and prior Distribution Dates and (y) amounts distributed on the Class A-PO Certificates on prior Distribution Dates pursuant to Paragraph fourth of Section 4.01(a). On and after the Subordination Depletion Date, the Class A-PO Deferred Amount will be zero. No interest will accrue on any Class A-PO Deferred Amount.

  • Section 336(e) Election has the meaning set forth in Section 7.06.

  • Principal Distribution Account means the account by that name established and maintained pursuant to Section 4.1 of the Sale and Servicing Agreement.
