ERISA Client definition
ERISA Client shall have the meaning specified in Section 3.7(b) hereof.
ERISA Client means each Client that is (i) an “employee benefit plan” (as defined in Section 3(3) of ERISA) that is subject to Title I of ERISA, (ii) a plan, individual retirement account or other arrangement that is subject to Section 4975 of the Code, (iii) an employee benefit plan, plan, account or arrangement that is subject to any Similar Law, or (iv) any entity whose underlying assets are considered to include “plan assets” (as defined by the regulations of the Department of Labor, as amended by Section 3(42) of ERISA) of any such employee benefit plan, plan, account or arrangement, or a Person acting on behalf of such a Client.
ERISA Client has the meaning assigned in Section 6.18.

Schedule 3.1(j)(vii) identifies each Client that is an ERISA Client with an appropriate footnote identifying the category of ERISA Client, as set forth in clauses (A) through (E).
The Company has produced and made available to Buyer all investment advisory and other agreements governing the relationship between the Company and each ERISA Client and all disclosures required by 29 C.F.R. § 2550.408b2.
More Definitions of ERISA Client
ERISA Client means any plan that is subject to ERISA, or any plan that is defined in Section 4975(e)(1) of the Code.
ERISA Client means each Investment Advisory Client that is (i) an “employee benefit plan” (as defined in Section 3(3) of ERISA) that is subject to Title I of ERISA, (ii) a plan, individual retirement account or other arrangement that is subject to Section 4975 of the Code, (iii) an employee benefit plan, plan, account or arrangement that is subject to any similar applicable law, or (iv) any entity whose underlying assets are considered to include “plan assets” (as defined by the regulations of the Department of Labor, as amended by Section 3(42) of ERISA), or its equivalent under applicable law, of any such employee benefit plan, plan, account or arrangement, or a Person acting on behalf of such an Investment Advisory Client.
ERISA Client has the meaning ascribed thereto in Section 3.1(j)(vii).
ERISA Client means (i) an employee benefit plan, as defined in Section 3(3) of ERISA, that is subject to Title I of ERISA, or a plan subject to Section 4975 of the Code; or (ii) an entity deemed to hold the “plan assets” of either of the foregoing (within the meaning of the U.S. Department of Labor regulation located at 29 C.F.R. Section 2510.3-101, as modified by Section 3(42) of ERISA).
ERISA Client means any client of the Company or the Subsidiaries to which the Company or the Subsidiaries render Investment Services that is a “benefit plan investor,” within the meaning of 29 C.F.R. § 2510.3 101(f)(2) or Section 3(42) of ERISA.
ERISA Client defined in Section 3.1.8(b)(i).
ERISA Client has the meaning set forth in Section 4.14(e).
