Equity Investment Amount definition

Equity Investment Amount has the meaning set forth in the preface above.
Equity Investment Amount means, as of any date, the aggregate Equity Portion of Construction Advances then invested by or on behalf of the Owner Participant and any predecessor in interest, if any, not to exceed three percent (3%) of the Construction Advances.
Equity Investment Amount means, at any time, an amount equal to the sum, without duplication, of (a) the amount of cash proceeds (net of brokers' and advisors' fees and other costs incurred in connection with such transaction, if evidence of such costs is provided to the Administrative Agent in form and substance reasonably satisfactory to it) received by the Company or any of its Subsidiaries after the Closing Date and at or prior to such time from any sale of any Stock or Stock Equivalents of SFC, any Intermediary Holding Company or Holdings by Acquisition Co., SFC or such Intermediary Holding Company to any Person other than Holdings or any of its Subsidiaries and excluding (but only to the extent and for as long as such director, member of management, employee or individual independent contractor does not have any Indebtedness incurred in connection with the purchase of such Stock or Stock Equivalents outstanding and owing to any Loan Party) proceeds from the issuance of Stock and Stock Equivalents in the ordinary course of business to any director, member of management, employee or individual independent contractor of Holdings or any of its Subsidiaries, (b) to the extent not included in clause (a) above, the aggregate amount of cash contributions to the capital of Holdings made after the Closing Date and to the extent further contributed to the capital of, or used to purchase from the Company common Stock of, the Company at or prior to the date of determination and (c) the aggregate net cash proceeds received by Holdings from the issuance of the Indebtedness described in clause (a) of the definition of "Holdings Indebtedness" to the extent contributed in cash to the capital of, or used to purchase from the Company common Stock of, the Company at or prior to the date of determination.

Related to Equity Investment Amount

  • Equity Investment means (i) an Equity Security; and (ii) an ownership interest in any company or other entity, any membership interest that includes a voting right in any company or other entity, any interest in real estate; and any investment or transaction which in substance falls into any of these categories even though it may be structured as some other form of investment or transaction.

  • Net Capital Proceeds means the net cash proceeds received by the Partnership in connection with (i) any Sale, (ii) any borrowing or refinancing of borrowing(s) by the Partnership, (iii) any condemnation or deeding in lieu of condemnation of all or a portion of any Property, (iv) any collection in respect of property, hazard, or casualty insurance (but not business interruption insurance) or any damage award; or (v) any other transaction the proceeds of which, in accordance with generally accepted accounting principles, are considered to be capital in nature, in each case, after deduction of (a) all costs and expenses incurred by the Partnership with regard to such transactions (including, without limitation, any repayment of any indebtedness required to be repaid as a result of such transaction or which the General Partner elects to pay out of the proceeds of such transaction, together with accrued interest and premium, if any, thereon and any sales commissions or other costs or expenses due and payable to any Person in connection therewith, including to a Partner or its Affiliates), and (b) all amounts expended by the Partnership for the acquisition of additional Properties, Mortgages or other investments or for capital repairs or improvements to any Property with such cash proceeds.

  • Principal Accumulation Investment Proceeds means, with respect to each Transfer Date, the investment earnings on funds in the Principal Accumulation Account (net of investment expenses and losses) for the period from and including the immediately preceding Transfer Date to but excluding such Transfer Date.

  • Class B Adjusted Invested Amount means, with respect to any date of determination, an amount equal to the Class B Invested Amount less the positive difference, if any, between the Principal Funding Account Balance and the Class A Invested Amount on such date.
