The party performing the Response Action shall be referred to as the “Performing Party.” For all other Environmental, Health and Safety Matters, the party that is the owner/operator of the real property shall be the Performing Party.

The representations and warranties of Parent and the Sellers contained in Section 4.16 (Environmental, Health, and Safety Matters) shall survive the Closing and continue in full force and effect for a period of three (3) years thereafter (subject to any applicable statutes of limitations shorter than such period).

Except with respect to Sections 4.10 (Taxes), 4.23 (Employee Benefits), 4.25 (Government Contracts) and 4.26 (Environmental, Health and Safety Matters) all representations and warranties contained in this Agreement, including those contained in the exhibits, schedules and other documents delivered pursuant to this Agreement, above shall survive the Closing hereunder and continue in full force and effect for a period of eighteen months thereafter.
