Environmental, Health and Safety Matters definition

Environmental, Health and Safety Matters means any matter concerning worker health or safety, public health or safety, product or materials safety, pollution, contamination, replacement, renewal or protection of the soil, air, ground water, surface water, land surface and natural resources, including buildings and other man-made structures and third-party properties.
Environmental, Health and Safety Matters means any: (a) person, place, object, substance or matter (including discharges to air, water and soil) regulated by any Environmental Law; (b) matter which falls within the jurisdiction of any Environmental Agency; (c) matter which is the subject of any Notice, Environmental Investigation, Environmental Documents, or Environmental Permits; (d) Release, Notice, Environmental Law, Environmental Agency, Environmental Investigation, Environmental Documents and Environmental Permits; (e) matter which is regulated by the Occupational Health and Safety Administration pursuant to 29 CFR 1910.120, dealing with Hazardous Waste Operations and Emergency Responses and 29 CFR 1910.1200 dealing with Hazard Communication or similar matters regulated by similar state or local agencies; (f) all events, proceedings, actions, filings, reports, investigations, remediations, conditions, violations, compliance obligations, operations, claims, lawsuits, losses, liabilities, fines, penalties, judgments, damages and expenses involving any issue of the environment under any Environmental Law and arising at, about or by reason of any of the Premises, the operation of any automobile dealerships, automobile rental and financing businesses and any automobile repair business as conducted by any of the Dealerships or their Affiliates, or their successors, whenever occurring or arising; and (g) health and/or safety issues or matters which are related to any of the foregoing;
Environmental, Health and Safety Matters shall have the meaning set forth in Section 8.10.

Examples of Environmental, Health and Safety Matters in a sentence

  • The party performing the Response Action shall be referred to as the “Performing Party.” For all other Environmental, Health and Safety Matters, the party that is the owner/operator of the real property shall be the Performing Party.

  • Environmental, Health and Safety Matters Buyer shall maintain safe work conditions on site, such as: the implementation of the appropriate procedures in relation to Hazardous Materials, access to confined spaces and, commissioning, start-up and switch-off of energy systems (electrical, mechanical and hydraulic systems), using effective and safe lock-out / tag–out (‘LOTO’) procedures that include the LOTO or an option agreed upon by the Parties.

  • This Section 3.16 constitutes the sole and exclusive representations and warranties of the Seller with respect to any matters relating to Environmental, Health and Safety Matters.

  • Except as set forth below, all of the representations and warranties of Parent and the Sellers contained in Section 4.3 through Section 4.25 of this Agreement (other than Section 4.5 (Subsidiaries), 4.9 (Tax Matters), 4.15(f) (PBGC Liability) and Section 4.16 (Environmental, Health, and Safety Matters)) shall survive the Closing and continue in full force and effect for a period of eighteen (18) months thereafter.

  • The representations and warranties of Parent and the Sellers contained in Section 4.16 (Environmental, Health, and Safety Matters) shall survive the Closing and continue in full force and effect for a period of three (3) years thereafter (subject to any applicable statutes of limitations shorter than such period).

  • Except with respect to Sections 4.10 (Taxes), 4.23 (Employee Benefits), 4.25 (Government Contracts) and 4.26 (Environmental, Health and Safety Matters) all representations and warranties contained in this Agreement, including those contained in the exhibits, schedules and other documents delivered pursuant to this Agreement, above shall survive the Closing hereunder and continue in full force and effect for a period of eighteen months thereafter.

  • Environmental, Health and Safety Laws means the Comprehensive Environmental Response, Compensation and Liability Act of 1980, the Resource Conservation and Recovery Act of 1976, and the Occupational Safety and Health Act of 1970, each as amended, together with all other laws (including rules, regulations, codes, plans, injunctions, judgments, orders, decrees, rulings, and charges thereunder) of federal, state, local, and foreign governments (and all agencies thereof) concerning pollution or protection of the environment, public health and safety, or employee health and safety, including laws relating to emissions, discharges, releases, or threatened releases of pollutants, contaminants, or chemical, industrial, hazardous, or toxic materials or wastes into ambient air, surface water, ground water, or lands or otherwise relating to the manufacture, processing, distribution, use, treatment, storage, disposal, transport, or handling of pollutants, contaminants, or chemical, industrial, hazardous, or toxic materials or wastes.

  • Environmental, Health, and Safety Requirements means all federal, state, local and foreign statutes, regulations, and ordinances concerning public health and safety, worker health and safety, and pollution or protection of the environment, including without limitation all those relating to the presence, use, production, generation, handling, transportation, treatment, storage, disposal, distribution, labeling, testing, processing, discharge, release, threatened release, control, or cleanup of any hazardous materials, substances or wastes, as such requirements are enacted and in effect on or prior to the Closing Date.

  • Environmental, Health and Safety Liabilities means any cost, damages, expense, liability, obligation, or other responsibility arising from or under Environmental Law or Occupational Safety and Health Law and consisting of or relating to:

  • Health and Safety Laws means all applicable laws, statutes, regulations, subordinate legislation, bye-laws, common law and other national, international, federal, European Union, state and local laws, judgments, decisions and injunctions of any court or tribunal, and codes of practice and/or guidance notes issued by any applicable government body or authority, public body, trade union, works council, or industry or regional sector authority to the extent that they relate to or apply to the health and safety of any person, including (but not limited to) any such requirements and obligations concerning Covid-19.

  • Environmental and Safety Requirements means all federal, state, local and foreign statutes, regulations, ordinances, codes and other provisions having the force and effect of law, all judicial and administrative orders and determinations, all contractual obligations and all common law concerning public health and safety, worker health and safety, and pollution or protection of the environment, including all those relating to the presence, use, production, generation, handling, transportation, treatment, storage, disposal, distribution, labeling, testing, processing, discharge, release, threatened release, control or cleanup of, or exposure to, any hazardous materials, substances or wastes, chemical substances or mixtures, pesticides, pollutants, contaminants, toxic chemicals, petroleum products or byproducts, asbestos, polychlorinated biphenyls, noise or radiation, as previously, now or hereafter in effect.
