Entire Contract This Contract constitutes the entire contract and understanding between you and XOOM with respect to its subject matter and superseding all prior written and oral contracts and representations made with respect to the subject matter.
Entire Agreement This Agreement, including the Enrollment form and/or Welcome letter and your Contract Summary, constitute the entire Agreement and understanding between you and XOOM with respect to its subject matter and superseding all prior written and oral Agreements and representations made with respect to the subject matter.
Entire Board means all directors of the Corporation in office, whether or not present at a meeting of the Board, but disregarding vacancies.
Fire Chief means the chief of the Fire Department.
Fire Code means Ontario Regulation 213/07, as amended, and any successor regulation.
Tier 3 Wire Centers means those Qwest Wire Centers that do not meet the criteria for Tier 1 or Tier 2 Wire Centers.
Tier 2 Wire Centers means those CenturyLink Wire Centers that are not Tier 1 Wire Centers, but contain at least three (3) Fiber-based Collocators, at least twenty-four thousand (24,000) Business Lines, or both. Once a Wire Center is determined to be a Tier 2 Wire Center, that Wire Center is not subject to later reclassification as a Tier 3 Wire Center.
Serving Wire Center (SWC) means a Wire Center that serves the area in which the other Party’s or a third party’s Wire Center, aggregation point, point of termination, or point of presence is located.
Wire Center means the location of one (1) or more local switching systems. It is also a point at which End User’s loops within a defined geographic area converge. Such local loops may be served by one (1) or more Central Office Switches within such premises.
Tier 1 Wire Centers means those CenturyLink Wire Centers that contain at least four (4) Fiber- based Collocators, at least thirty-eight thousand (38,000) Business Lines, or both. Tier 1 Wire Centers also are those CenturyLink tandem switching locations that have no line-side switching facilities, but nevertheless serve as a point of traffic aggregation accessible by CLEC. Once a Wire Center is determined to be a Tier 1 Wire Center, that Wire Center is not subject to later reclassification as a Tier 2 or Tier 3 Wire Center.
Final Agreement means the agreement signed and ratified by the Parties at the end of Stage 5 of the BCTC Process.
Appendices has the meaning ascribed to it in the recitals to the Agreement.
Serving Wire Center (SWC means the Wire Center that serves the area in which the other Party’s or a Third Party’s Wire Center, aggregation point, point of termination, or point of presence is located.
Difference means the difference in price upon the opening of a transaction and the closing of such Transaction.
Exhibits means the several exhibits referred to and identified in this Agreement.
Wire communication means any aural transfer made in whole or in part through the use of facilities for the transmission of communications by the aid of wire, cable, or other like connection between the point of origin and the point of reception (including the use of such connection in a switching station) furnished or operated by any person engaged in providing or operating such facilities for the transmission of interstate or foreign communications or communications affecting interstate or foreign commerce;
Ceiling Amount has the meaning assigned to such term in Section 9.10(a).
Written agreement means a written agreement made pursuant to section 8. A written agreement may address new jobs, qualified new jobs, full-time jobs, retained jobs, or any combination of new jobs, qualified new jobs, full-time jobs, or retained jobs.
Subject Matter means the Unit as finally described in the Sectional Plan, read together with the Register;
Subject Matter Experts has the meaning set forth in Section II.A.2.
Subject means a person or group of persons against or in relation to whom a Protected Disclosure is made or evidence gathered during the course of an investigation.
Replacement cost for houses and other structures means the prevailing cost of replacing affected structures, in an area and of the quality similar to or better than that of the affected structures. Such costs will include: (a) transporting building materials to the construction site; (b) any labor and contractors’ fees; and (c) any registration costs.
Schedules means the document(s) entitled schedules, completed by the Contractor and submitted with the Letter of Tender, as included in the Contract. Such document may include the Bills of Quantities, data, lists, and schedules of rates and/or prices.
Addenda “Addendum” or “Amendment(s)” shall mean a clarification, revision, addition, or deletion to this Invitation For Bid by City which shall become a part of the agreement between the parties.
Rounding Amount means, if the Relevant Currency is (a) USD or EUR, 1,000 units of the Relevant Currency, unless otherwise specified in Schedule 1 to these Credit Derivatives Auction Settlement Terms, (b) JPY, 100,000 units of the Relevant Currency, unless otherwise specified in Schedule 1 to these Credit Derivatives Auction Settlement Terms, or (c) any other currency, such amount approved by the relevant Convened DC and set forth in Schedule 1 to these Credit Derivatives Auction Settlement Terms.
Fortnight means a period commencing at 0600 hours on first Day of Month and ending on 0600 hours on sixteenth Day of the Month or from 0600 hours on sixteenth Day of the Month to 0600 hours on the first Day of the succeeding calendar month, as the case may be.
