Enjoined definition

Enjoined or “Enjoinment” means if any court issues a final, non-appealable order, writ, injunction, decree, judgment, award, decision or determination that invalidates or permanently terminates the ZEC Program or otherwise permanently enjoins, impedes or prevents any Party from participating in the ZEC Program or fulfilling its material obligations under this Agreement, as applicable.

Examples of Enjoined in a sentence

  • In the event the ZEC Program is Enjoined, either Party may terminate this Agreement pursuant to Section 13.1(e) and neither Party shall be required thereafter to perform any of the obligations under this Agreement.

  • Nothing in this Permanent Injunction shall prohibit the Enjoined Parties from providing service or technical support for a Product for which Broadcom is or has been compensated under a jury’s Verdict or for which the sale was permitted under provision II(b) above or provision VI below.

  • The Enjoined Parties are not prohibited by this Injunction from offering to sell or selling Enjoined Products that are manufactured outside of the United States to customers located outside the United States.

  • If an injunction, decree or judgment is entered providing that either Party may not use any of the E-C Products or D-R Products or any component or portion of a completed version of the Combined System (collectively, “Enjoined Technology”) in the manner contemplated by this Agreement without violating the Intellectual Property rights of a third party, the Party responsible for the development or design of the Enjoined Technology shall, at its sole option and expense, either [***].

  • Nothing in this Permanent Injunction shall prohibit the Enjoined Parties from engaging in activities that are expressly authorized in writing by Broadcom.

  • The parties have jointly agreed to request that the Court amend the Permanent Injunction to remove SOC 442 from the category of ’150 Patent Enjoined Products.

  • If the Party elects to replace or modify the Enjoined Technology, such replacement shall undergo timely Acceptance Testing and review as set forth in Section 4 of this Agreement.

  • In the event that: (1) Emulex uses the SerDes component (or any component not colorably different from the structure found to infringe the ’150 patent) from the SOC 442 in any other product or ; or (2) the Agreement terminates or expires, then (i) Broadcom may petition the Court to amend the Permanent Injunction to reinstate the SOC 442 as a ’150 Patent Enjoined Product under the Permanent Injunction, and (ii) Emulex agrees that it shall not oppose any such petition.

  • Enjoined contractors and their affiliates will be disqualified from performing work as subcontractors if the Construction Engineer determines that such work could adversely affect other work under contract to the Department.

  • Since April 30, 2014, no Acquired Company (a) has designed, developed, manufactured, sold or distributed any Enjoined Product, (b) instructed, encouraged, supported or knowingly permitted ▇▇▇▇▇ ▇.

Related to Enjoined

  • Intimidating, threatening, abusive, or harming conduct means, but is not limited to, conduct that does the following:

  • Challenge means to appeal a ruling of the Chair.

  • Injunction has the meaning set forth in Section 6.1(a).

  • Counterfeit Work means Work that is or contains unlawful or unauthorized reproductions, substitutions, or alterations that have been knowingly mismarked, misidentified, or otherwise misrepresented to be an authentic, unmodified part from the original manufacturer, or a source with the express written authority of the original manufacturer or current design activity, including an authorized aftermarket manufacturer. Unlawful or unauthorized substitution includes used Work represented as new, or the false identification of grade, serial number, lot number, date code, or performance characteristics. "Suspect Counterfeit Work" means Work for which credible evidence (including, but not limited to, visual inspection or testing) provides reasonable doubt that the Work part is authentic.

  • Patent Challenge has the meaning set forth in Section 14.2(d).
