Engagement Period definition

Engagement Period means the period beginning on May 9, 2022, and ending on the earlier of (i) twelve (12) months from the date of such date, (ii) the final closing, if any, of the Offering, or (iii) the date that either party to this Agreement gives the other party to this Agreement at least thirty (30) days’ advance written notice of termination of that certain engagement letter agreement by and between the Company and the Representative, dated as of May 9, 2022.

Engagement Period means the period that starts at the earlier of the date when the member or firm signs the engagement letter or commences procedures in respect of the engagement and ends when the assurance report is issued, except when the engagement is of a recurring nature, in which case the engagement period ends with:

Examples of Engagement Period in a sentence

• If the Couple does not marry during the Engagement Period, then this Agreement shall become void.

• During the Engagement Period or until the Closing, the Company agrees to cooperate with Aegis and to furnish, or cause to be furnished, to Aegis, any and all information and data concerning the Company, and the Placement that Aegis deems appropriate (the “Information”).

• The covenants and agreements set forth in Articles 4 and 5, hereof and, to the extent applicable, the covenants and agreements set forth in Article 3 hereof, shall survive the expiration of the Engagement Period and shall survive termination of this Agreement and remain in full force and effect.

• The period during which Consultant has, and will continue to, serve in such capacity shall be deemed the "Engagement Period" and shall hereinafter be referred to as such.

• The covenants and agreements set forth in Article 4 and Article 5 shall survive the expiration of the Engagement Period and shall all survive termination of this Agreement and remain in full force and effect regardless of the cause of such termination.

More Definitions of Engagement Period

Engagement Period means the period beginning on September 29, 2021, and ending on the earlier of (i) twelve (12) months from the date of such date, (ii) the final closing, if any, of the Offering, or (iii) the date that either party to this Agreement gives the other party to this Agreement at least thirty (30) days’ advance written notice of termination of that certain engagement letter agreement by and between the Company and the Representative, dated as of September 29, 2021. For the avoidance of doubt, this provision shall not apply to Jupiter Gold Corporation and Apollo Resources Corporation, both of which are non-U.S. entities in which the Company has an ownership stake. In addition, this provision shall not apply to the Company Carve Outs.

Engagement Period means the period beginning on the date of the final closing of the Offering and ending on the date that is twelve (12) months from the date of the final closing of the Offering.

Engagement Period shall have the meaning ascribed to such term in Section 4.18.

Engagement Period is defined in Section 2 above.

Engagement Period means the period beginning on July 1, 2023, and ending on the earliest of (i) July 1, 2024, (ii) the date the Offering is completed, or (iii) the date that either the Company or the Representative terminates the Engagement Agreement pursuant to the terms therein. In compliance with FINRA Rule 5110(g)(5)(B), the right granted to the Representative under this Section 3(r) shall be terminated upon termination by the Company of this Agreement for cause and the Company shall not be responsible for paying for the fee set forth in this Section 3(r) unless a Tail Financing is consummated within the Engagement Period.

Engagement Period means the period beginning on April 13, 2023, and ending on the earlier of (i) six (6) months from the date of such date, (ii) the final closing, if any, of the Offering, or (iii) the date that either party to this Agreement gives the other party to this Agreement at least thirty (30) days’ advance written notice of termination of that certain engagement letter agreement by and between the Company and the Underwriter, dated as of April 13, 2023. During the term of this Agreement the Company agrees that it will not negotiate with any other underwriter, placement agent or arranger relating to a possible public or private offering or placement of the Company’s securities (including the Offering) or other financing without first consulting and receiving the approval of the Underwriter.

Engagement Period means that period commencing with the Engagement Date and ending as of and coincident with the date on which Executive’s employment with Company shall terminate.
