End-Clients definition

End-Clients means the clients of the Client that own the beneficial interests of the Securities and/or the Structured Products and whose accounts are managed by the Client with full or discretionary authority for the Transactions.
End-Clients. The users of the products and Services of the Orbitall Clients, such as the holders of credit cards and vouchers who are the end-recipients of the Services.

Examples of End-Clients in a sentence

  • For End-Clients located in the United States and which process Content that includes personally identifiable information concerning individuals who reside in the United States, Content will be stored on the Cloud located in the United States.

  • MSP will ensure that all its End-Client customers have agreed to abide by the terms of this Agreement, including the confidentiality provisions contained herein and MSP is liable for any breach of this Agreement by such End-Clients.

  • Notwithstanding anything to the contrary in the Agreement, other Confidential Compliance Information of Kyndryl (excluding the Report, Certifications and any other information from, referring to or otherwise included in the Kyndryl Information Security Program) may be disclosed by Customer to End-Clients which are Regulated Entities.

  • During the term of this Agreement, except as expressly provided in this Agreement, Continuum shall not intentionally communicate with any of MSP's then current End-Client about the Continuum Offering so long as Continuum is made aware of the identity of MSP's End-Clients.

  • MSP understands and agrees that if MSP fails to pay the Fees when due, Zenith reserves the right, upon ten (10) days written notice to MSP, to disable the Zenith Offering to MSP and/or End-Clients, in part or in whole, until MSP’s payment is made in full.

  • Subject to MSP’s material compliance with the terms of this Agreement, Zenith hereby grants to MSP a non- exclusive, non-assignable, worldwide right to use the Zenith Offering solely to provide IT infrastructure management services to End-Clients.

  • Upon Zenith’s receipt of such notice from MSP, this Agreement shall automatically terminate, and Zenith shall have the right to immediately terminate the Zenith Offering to MSP and MSP’s End-Clients.

  • Continuum agrees that during the term of this Agreement, Continuum shall refrain from directly soliciting MSP's End-Clients for the provision of the Continuum Offering.

  • The parties acknowledge and agree that general solicitations and advertisements not directed specifically at MSP's End-Clients, or business discussions initiated by MSP's End- Clients, shall not be a breach of this section.
