Encumbered Properties definition

Encumbered Properties means, any Properties or other assets that are subject to any Liens (other than Permitted Liens) securing any Liabilities.

Encumbered Properties has the meaning given to it in Article 8 (Mortgage Allocation).

Encumbered Properties means those properties described on Schedule 1(m).

More Definitions of Encumbered Properties

Encumbered Properties means those properties listed in Schedule 3.31;

Encumbered Properties means each Property owned in whole or in part by Operating Partnership or any of its direct or indirect subsidiaries, including those certain properties described in Schedule A-2 hereto.

Encumbered Properties means those Properties commonly known as (i) Benedictine Cancer Center, located at 100 Xxxx'x Xxxxxx, Xxxxxxxx, Xxx Xxxx 00000, (ii) Cxxxxxx Center, located at 600 XxXxxxxxx Xxxxxx, Schenectady, New York 12304, (iii) Medical Center of New Windsor, located at 500 Xxxxxx Xxxxxx Avenue, New Windsor, New York 12553, (iv) New Paltz Medical Center, located at 200 Xxxx Xxxxxx, Xxx Xxxxx, Xxx Xxxx 00000, (v) Plank Medical Center, located at 600 Xxxxx Xxxx, Xxxxxxx Xxxx, New York 12065 (the “Plank Property”), (vi) Slingerlands Crossing Phase I, located at 1000 Xxx Xxxxxxxx Xxxx, Xxxxxxxxx, Xxx Xxxx 00000, (vii) Slingerlands Crossing Phase II, located at 1000 Xxx Xxxxxxxx Xxxx, Xxxxxxxxx, Xxx Xxxx 00000, (viii) Bowie Gateway Medical Center, located at 4000 X. Xxxxxx Court, Bowie, Maryland 20716, (ix) Creekside MOB, located at 6000 Xxxxxxxxxxxx Xxxxxxx, Xxxxxxxxxxxx, Xxxxxxx 00000 (the “Creekside Property”), and (x) 310 Lafayette MOB, located at 300 Xxxxxxxxx Xxxxxx XX, Xxxxx Xxxxxx, Xxxxxxxx 00000 (the “310 Lafayette Property”), each as more particularly described on either Exhibit B-1 and B-2 attached hereto, as applicable. Each of the Encumbered Properties is referred to herein as an “Encumbered Property.”

Encumbered Properties. Term Collateral", "Additional Properties", "Mortgage Property" and "Other Property" as defined or used in any Loan Document, are amended to exclude (to the extent included) the Released Property therefrom.

Encumbered Properties means a Property or Properties encumbered by a security interest, mortgage or any other Lien upon or charge against or interest in the Property to secure payment of a debt or performance of an obligation. “Equity Interests” shall mean all securities, shares, units, options, warrants, interests, participations, membership interests or other equivalents (regardless of how designated) of or in a corporation, partnership, limited liability company, or similar entity, whether voting or nonvoting, certificated or uncertificated, including general partner partnership interests, limited partner partnership interests, common stock, preferred stock, or any other “equity security” (as such term is defined in Rule 3a11-1 of the General Rules and Regulations promulgated by the Securities and Exchange Commission under the Securities Exchange Act of 1934). “ERISA” shall mean the Employee Retirement Income Security Act of 1974, as amended from time to time, the regulations promulgated thereunder and the published interpretations thereof as in effect from time to time. “ERISA Affiliate” shall mean any trade or business (whether or not incorporated) which together with any other Person would be treated, with such Person, as a single employer under Section 4001 of ERISA.

Encumbered Properties means the Borrower Encumbered Property and Cal-Maine Encumbered Property.
