Employment Termination Event definition

Employment Termination Event. The termination of Executive for “Cause” (as defined in the Employment Agreement), the closing of either the Call Right or the Put Option, or Executive terminates his or her employment for reasons other than death or Disability as provided in Section 5 of the Employment Agreement.
Employment Termination Event means (a) the termination by the Company of a Fenics Stockholder’s employment, if any, with the Company or any of its subsidiaries “for cause” (as defined in such Fenics Stockholder’s employment agreement, as in effect on the date hereof, with the Company or any of its subsidiaries or, to the extent no written employment agreement exists on the date hereof, “for cause” or “gross misconduct” as applicable, shall be determined in good faith by the Board of Directors) or (b) a Fenics Stockholder’s willful resignation from employment, if any, with the Company or any of its subsidiaries without “good reason” (as defined in such Fenics Stockholder’s employment agreement, as in effect on the date hereof, with the Company or any of its subsidiaries or, to the extent no written employment agreement exists on the date hereof, as defined in good faith by the Board of Directors) where such Fenics Stockholder is in breach of or subsequently breaches a Restrictive Covenant contained in Article VII hereof or in his employment agreement, if any, as in effect on the date hereof.
Employment Termination Event means the termination by Duck Head of Xxxxxxx'x employment with Duck Head for any reason other than Cause, as defined below. For purposes of this Undertaking, Cause shall be deemed to occur if Duck Head shall terminate Xxxxxxx'x employment under one or more of the following circumstances, as determined in the sole, good faith judgment of a majority of the Board of Directors of Duck Head (the "Board"):

More Definitions of Employment Termination Event

Employment Termination Event shall be deemed to have occurred upon either: (i) the involuntary termination of your employment for reasons other than Cause (as defined in Section 3(e)), or (ii) the voluntary termination of your employment for Good Reason (as defined in Section 3(f)).

Employment Termination Event means (i) an Eligible Company giving or receiving a written notice of immediate or pending employment termination of a Cardholder; (ii) a Cardholder leaving the EligibleCompany’s service; or (iii) if the Cardholder is a member of a bargaining unit of a union and the employer contract includes grievance procedures, when the Eligible Company files a grievance with the labour arbitrator recommending the Cardholder’s employment be terminated.

  • ERISA Termination Event means (i) a “Reportable Event” described in Section 4043 of ERISA and the regulations issued thereunder (other than a “Reportable Event” not subject to the provision for 30-day notice to the PBGC under such regulations), or (ii) the withdrawal of a Borrower or any of its ERISA Affiliates from a “single employer” Plan during a plan year in which it was a “substantial employer”, both of such terms as defined in Section 4001(a) of ERISA, or (iii) the filing of a notice of intent to terminate a Plan or the treatment of a Plan amendment as a termination under Section 4041 of ERISA, or (iv) the institution of proceedings to terminate a Plan by the PBGC or (v) any other event or condition which might constitute grounds under Section 4042 of ERISA for the termination of, or the appointment of a trustee to administer, any Plan or (vi) the partial or complete withdrawal of a Borrower or any ERISA Affiliate of such Borrower from a “multiemployer plan” as defined in Section 4001(a) of ERISA.

  • Disability Termination means termination by the Company of the Executive’s employment by reason of the Executive’s incapacitation due to disability. The Executive will be deemed to be incapacitated due to disability if at the end of any month the Executive is unable to perform substantially all of the Executive’s duties under this Agreement in the normal and regular manner due to illness, injury or mental or physical incapacity, and has been unable so to perform for either (i) three consecutive full calendar months then ending, or (ii) 90 or more of the normal working days during the 12 consecutive full calendar months then ending. Nothing in this paragraph alters the Company’s obligations under applicable law, which may, in certain circumstances, result in the suspension or alteration of the foregoing time periods.

  • Exercise Termination Event (i) the Effective Time (as defined in the Merger Agreement) of the Merger; (ii) termination of the Merger Agreement in accordance with the provisions thereof if such termination occurs prior to the occurrence of an Initial Triggering Event, except a termination by Grantee pursuant to Section 8.1(d) of the Merger Agreement (unless the breach by Issuer giving rise to such right of termination is non-volitional); or (iii) the passage of 12 months after termination of the Merger Agreement if such termination follows the occurrence of an Initial Triggering Event or is a termination by Grantee pursuant to Section 8.1(d) of the Merger Agreement (unless the breach by Issuer giving rise to such right of termination is non-volitional) (provided that if an Initial Triggering Event continues or occurs beyond such termination and prior to the passage of such 12-month period, the Exercise Termination Event shall be 12 months from the expiration of the Last Triggering Event but in no event more than 18 months after such termination). The "Last Triggering Event" shall mean the last Initial Triggering Event to expire. The term "Holder" shall mean the holder or holders of the Option.

  • Share Termination Settled” in relation to the Transaction means that Share Termination Alternative is applicable to the Transaction.

  • Mandatory Termination Date means the "Termination Date" set forth under "Investment Summary--Essential Information" in the Prospectus for the Trust.

  • Initial Termination Date has the meaning set forth in Section 9.1(b)(i).

  • Event of Termination has the meaning specified in Section 7.01.

  • Without Cause Termination or “Terminated Without Cause” means termination of the Executive’s employment by the Company other than due to death, disability, or Termination for Cause.
