For purposes of this Agreement, “Worker” shall mean any individual who was employed by the Company during any portion of the twelve-month period prior to the Employment Cessation Date with whom Employee, during such twelve-month time period, had contact or communications.
However, nothing in this Agreement shall prevent Employee from working in a position in a subdivision of a Competing Business that does not provide any of the products or services provided by the Company as of the Employment Cessation Date.
Because of the national and expanding scope of the Company’s business, for purposes of this Agreement, the “Restricted Area” is defined as the United States of America and any city, town, county or metropolitan area in Canada in which the Company operates store locations as of the Employment Cessation Date.
For purposes of this agreement, the “Restricted Area” shall mean only those certain States within the United States of America and in such other countries wherein the Company actually produced, provided or sold products or services during the twelve (12) month period prior to the Employment Cessation Date.
Any business which sells or distributes flooring products (including, but not limited to, hardwood, engineered, resilient, bamboo, cork and/or laminate flooring) or any other products or services substantially similar to those sold or provided by the Company within the twelve-month period immediately preceding the Employment Cessation Date that constituted more than five percent (5%) of the Company’s gross sales.
During Executive's employment with the Bank and for a period of six (6) months after the Employment Cessation Date, Executive shall not, on Executive's own behalf or on behalf of any third party, recruit or hire any individual who was employed by the Bank at any point during the twelve-month period prior the Employment Cessation Date with whom Executive, while employed by the Bank, had contact or communications.
On the Employment Cessation Date, the Executive Director shall cease to hold any employment or offices in the Company and in any subsidiaries and associated companies of the Company.
The Company will be obligated to ensure that all these formalities are completed in a timely manner to enable the payment of the Severance Payments as per clause 2.2 within 1 week from the Employment Cessation Date.
This term of this Agreement shall commence upon the Employment Cessation Date and shall continue until December 31, 2018 (the “Termination Date”), unless earlier terminated in accordance with Section 1.4 (the “Term”).
If the Executive serves through the Target Employment Cessation Date, his termination of employment as of such date shall be treated under the Change in Control and Severance Agreement under the Change in Control and Severance Agreement as a termination by the Company without Cause during a CiC Period.
