Employee Stockholder definition

Employee Stockholder means each of the Stockholders who executed the First Stockholders Agreement or Second Stockholders Agreement, who was or is at the time of such execution an employee of, or who served or serves at the time of such execution as a consultant to or director of, the Corporation or its Subsidiaries or Affiliates.

Employee Stockholder means an Employee who, at the time an Incentive Stock Option is granted owns, as defined in Section 424 of the Code, stock possessing more than ten percent (10%) of the total combined voting power of all classes of stock of: (a) the Company; or (b) if applicable, a Subsidiary or a Parent.

Employee Stockholder means any Company Stockholder who is an employee of the Company as of immediately prior to the Closing.

• The Employee Stockholder shall notify WMC and Holding as soon as practicable prior to any change in the identity of any beneficiary of the Employee Stockholder's Trust.

• Neither the LLC nor any Employee Stockholder or Non-Manager Member shall do anything or take any action which would be inconsistent with the foregoing or with the Manager Member's actions as authorized by the foregoing provisions of this Section 9.5(a).

• The Corporation shall have the right to record such repurchases of Stock on its books and records without the consent of the Applicable Employee Stockholder, so long as such transactions are consistent with the terms of this Agreement.

• In addition to the transfer restrictions of the Employee Stockholder Agreement, any sale of Purchased Shares or Option Shares shall in all cases be completed in compliance with applicable securities laws.

Employee Stockholder has the meaning set forth in the preamble hereto; provided, however, that each of the Xxxxxxxxxxx X. Xxxx 2005 Grantor Retained Annuity Trust and the Xxxxxxxxxxx Xxxx 2008 Grantor Retained Annuity Trust shall be deemed to be an “Employee Stockholder” herein.
