Electronic Instruction Notice definition

Electronic Instruction Notice means any of an authenticated SWIFT message or any other form of electronic message accepted by the Clearing Systems. The deadline by which Chaves SME CLO No. 1 Class C Noteholders must provide any Electronic Instruction Notice to the Principal Paying Agent or obtain a Voting Certificate from a Paying Agent shall be 10 am (London time) on 15 November 2017. Chaves SME CLO No. 1 Class C Noteholders are reminded that the Clearing Systems and their bank, securities intermediary or broker through which they hold the Chaves SME CLO No. 1 Class C Notes will apply earlier deadlines than those set out above. The receipt of Electronic Instructions will be acknowledged in accordance with the standard practices of the Clearing Systems and will result in the Chaves SME CLO No. 1 Class C Notes being blocked in the relevant Clearing System so that no transfers may be effected in relation to the Chaves SME CLO No. 1 Class C Notes. Any Chaves SME CLO No. 1 Class C Notes so held and blocked will be released to the Chaves SME CLO No. 1 Class C Noteholder by the relevant Clearing System on the conclusion of the Meeting. Only those entities holding Chaves SME CLO No. 1 Class C Notes directly in the Clearing Systems (“Direct Participants”) may submit Electronic Instruction Notices or request Voting Certificates. If a Chaves SME CLO No. 1 Class C Noteholder is not a Direct Participant, it must arrange for the Direct Participant through which it holds the Chaves SME CLO No. 1 Class C Notes to undertake such acts on its behalf on or prior to the relevant deadline. The Proxy Voting Certificates issued by the Noteholders not wishing to attend the Meeting in person, and having followed the procedures set out in point (d) above, shall be addressed to the Principal Paying Agent with a copy being sent to the chairman of the Meeting and be received at least 1 (one) business day prior to the date of the Meeting. Electronic Instruction Notice means the electronic tender and blocking instructions to be submitted by Direct Participants to the Exchange and Tabulation Agent via the relevant Clearing System in the form specified in the relevant Clearing System Notice and in accordance with the requirements of such Clearing System by the Expiration Deadline (or any such earlier deadline as may be required to be met by the relevant Clearing System).

  • An Electronic Instruction Notice (as defined below) must also be submitted to the relevant Clearing System, outlining the name, passport or ID number of the proxy who will be attending the meeting on their behalf, in order for the Principal Paying Agent to reconcile their Proxy Voting Certificate with this Electronic Instruction Notice received for the relevant Clearing System, as a requirement under Portuguese law.

  • For the avoidance of doubt (i)any Holder who does not exercise any such right of revocation in the circumstances and in the manner specified above shall be deemed to have waived such right of revocation and its original Electronic Instruction Notice, CDS Exchange Instruction, Australian Offer Letter or Austraclear Transfer, as applicable, will remain effective and (ii) the publication of the Drawdown Prospectus shall not of itself provide Holders with any right of withdrawal.

  • Participating in the ExchangeA Qualifying Holder of Existing Notes wishing to participate in the Exchange Offer should deliver, or arrange to have delivered on its behalf, before the Expiration Time and before the deadlines set by each Clearing System (unless the Exchange Offer is terminated earlier), a duly completed Electronic Instruction Notice in the form of an authenticated SWIFT message, Euclid server or Creation Instruction to the relevant Clearing System.

  • ELECTRA internal consumption of electricity for that purpose is therefore very high.

  • A Noteholder, Direct Participant or Beneficial Owner wishing to participate in the Offer must submit, or arrange to have submitted on its behalf, at or before the Expiration Deadline and before the deadlines set by each Clearing System (unless the Offer is terminated earlier), a duly completed Electronic Instruction Notice to the relevant Clearing System in accordance with the requirements of the relevant Clearing System and in the manner specified herein.

  • If a Qualifying Holder holds its Notes through a Direct Participant, such Qualifying Holder should contact that Direct Participant to discuss the manner in which tenders for purchase and transmission of the corresponding Electronic Instruction Notice or Acceptance Notice, as applicable, and, as the case may be, transfer instructions may be made on its behalf.

  • Electronic Funds Transfer means any transfer of funds, other than a transaction originated by check, draft, or similar paper instrument, which is initiated through an electronic terminal, telephonic instrument, computer, or magnetic tape so as to order, instruct, or authorize a financial institution to debit or credit an account. Such term includes, but is not limited to, point-of-sale transfers, automated teller machine transactions, transfers initiated by telephone, wire transfers, and automated clearinghouse transfers.

  • Redirection Notice shall have the meaning assigned to such term in Section 14(c).

  • Instruction Letter means written instructions in a form acceptable to NCPS and executed by Issuer Party with Issuer Party directing NCPS to promptly disburse the Escrow Funds to Issuer pursuant to Section 4(a).
