Elan Know-How definition

Elan Know-How shall have the meaning set forth in the Elan License Agreement.

Elan Know-How means any and all rights owned, licensed or controlled by Elan to any scientific, pharmaceutical or technical information, data, discovery, invention (whether patentable or not), technique, process, procedure, system, formulation or design relating to the System that is not generally known to the public.

Elan Know-How has the meaning assigned thereto in the Elan License Agreement.

• Each of Elan and Acorda hereby acknowledges and agrees that the licences previously granted to Elan by Rush and the licenses granted to Acorda by Rush pursuant to the Rush/Acorda License do not constitute Elan Patent Rights or Elan Know-How for the purposes of this Agreement.

• Insofar as such patent rights and know-how constitute Elan Patent Rights or Elan Know-How for the purposes of this Agreement, Elan represents and warrants that it is entitled to grant a licence to such patent rights and know-how as are developed by or on behalf of Elan pursuant to the Axogen Agreement, including any patent rights and non-patented know-how or other information which may be conceived, reduced to practice or otherwise developed by or on behalf of Elan pursuant to the Axogen Agreement.

• It is expressly acknowledged by the Parties that the Zogenix Know-How shall not include any Elan Patents, any Elan Know-How or any other license or other rights granted to Zogenix by Elan or its Affiliates under this Agreement or any Related Agreement.

• The PIU will submit to ADB a project completion report within three months of physical completion of the project.

• Neither Elan nor Zogenix shall contact a Third Party alleging actual or unauthorized use of Elan Patents or misappropriation of Elan Know-How without the written consent of the other Party.

More Definitions of Elan Know-How

Elan Know-How means any and all rights Controlled by Elan as of the Effective Date to any discovery, invention (whether or not patentable), know-how, substances, data, techniques, processes, systems, formulations and designs relating to Oral drug delivery;

Elan Know-How means all knowledge, information, trade secrets, data and expertise within Elan’s oral controlled release technology relating to the Product which is not generally known to the public that is owned or possessed by Elan (and/or its Affiliates), or to be developed by Elan (and/or its Affiliates), whether before or during the term of this Agreement, whether or not covered by any patent, copyright, design, trademark or other industrial or intellectual property rights, or developed by or on behalf of Elan (and/or its Affiliates) in connection with the Project, or developed by or on behalf of Elan (and/or its Affiliates) pursuant to the Axogen Agreement. Title to all inventions and other intellectual property made solely by employees of Elan in connection with the Project shall be owned by Elan. Elan Know-How shall exclude:

Elan Know-How means Elan's drug delivery Know-How (including oral or mucosal Vaccine delivery Know-How) and Know-How relating to oral or mucosal Vaccines, other than the Elan Program Know-How and the Elan Excluded Technology;

Elan Know-How means any and all rights owned or licensed by Elan with respect to any knowledge, information, discovery, invention, trade secret, technique, process, system, formulation, design, data and expertise relating to the MEDIPAD(R) Drug Delivery System whether or not covered by any patent, copyright, design, trademark, trade secret or other industrial or intellectual property right.

Elan Know-How means Know How other than ELAN Collaboration Know How that ELAN Controls as of the Effective Date or that comes into the Control of ELAN during the term of this Agreement.

Elan Know-How means all knowledge, information, trade secrets, data and expertise relating to the PRODUCT and which is not generally known to the public, owned or licensed by ELAN as of the EFFECTIVE DATE, or developed by ELAN whether before or during the INITIAL PERIOD relating to the PRODUCT, and which ELAN is free to license and which is not subject to contractual obligations with any third party, whether or not covered by any patent, copyright, design patent, trademark, trade secret or other industrial or any intellectual property rights. In the event that ELAN acquires or merges with a third party entity, ELAN KNOW-HOW shall not include any know-how to the extent that such know-how relates to a product containing the COMPOUND which has been approved for marketing or is in development by the said third party entity. For the avoidance of doubt, the occurrence of any such acquisition or merger shall not affect the licence of the ELAN KNOW-HOW granted to LIGAND hereunder. For the avoidance of doubt, ELAN KNOW-HOW shall exclude any know-how owned, licenced or controlled by [**********] (collectively, the "EXCLUDED KNOW-HOW"). For the avoidance of doubt, ELAN KNOW-HOW shall include any know-how relating to the PRODUCT owned, licenced or controlled by [**********], if any.

Elan Know-How means any and all rights owned, licensed or controlled by Elan to any discovery, invention (whether or not patentable), know-how, substances, data, techniques, processes, systems, formulations and designs relating to pharmaceutical formulation knowledge, expertise, information and data owned by Elan, or otherwise necessary or useful to develop and manufacture the Products, but excluding any discovery, invention (whether or not patentable), know-how, substances, data, techniques, processes, systems, formulations and designs insofar as same relates specifically to the Compounds.
