EKN Premium definition

EKN Premium means in respect of the EKN Guarantee, the premium payable by the Borrower to the EKN Agent (for the account of EKN), being the premium down payment:
EKN Premium means the premium that EKN charges for issuing of the EKN-Guarantee (estimated to be USD 6,844,54 if paid upfront).
EKN Premium means collectively the EKN A Premium and each EKN New Tranche Premium.

  • It is contemplated that each such payment of the EKN Premium by the Borrower to the Facility Agent will be refinanced by way of reimbursement to the Borrower of such amounts pursuant to a Premium Utilisation in respect of the relevant amount as contemplated by Clause 5.2 (Utilisation in relation to the EKN Premium) and otherwise in accordance with the terms and conditions of this Agreement.

  • The Borrower shall procure that each Drawing is applied towards meeting up to 85 per cent of payments due under each Purchase Order and Software License Order and up to 85 per cent of the corresponding EKN Premium as the case may be.

  • The amount of any Premium Utilisation (being the amount equal to the relevant EKN Premium which has been paid by the Borrower pursuant to Clause 11.5 (EKN Premium)) shall be added to the amount requested pursuant to the first Utilisation Request delivered in respect of the relevant Tranche and shall form part of the relevant Loan.

  • The maximum amount allocated for the financing of EKN Premium is five million eight hundred seventeen thousand eight hundred forty six (5,817,846) USD.

  • The Borrower undertakes to pay the part of the EKN Premium not financed under this Agreement as well as any part thereof for which the maximum amount allocated for financing of the EKN Premium might not suffice to cover eighty-five (85) per cent of the EKN Premium.

  • The Borrower is ultimately responsible for payment of the EKN Premium in full.

  • Svenska Handelsbanken AB (publ), Stockholm (“Lender”), will finance the Purchase Orders and Software License Orders under the Contract for the delivery of the Equipment and/or respective software by granting a loan to the Borrower on the terms and conditions set out below for a maximum total amount of up to USD 69,700,000 representing up to 85 per cent of each Purchase Order and up to 85 per cent of the corresponding EKN Premium (as defined below).

  • For EKN Premium related Drawings, the Lender shall, when receiving a premium invoice from EKN, send a copy of the invoice to the Borrower and inform the Borrower of the amount due, the due dates of the invoice and to which Drawings the invoice relates.

Related to EKN Premium

  • Auction Premium means the difference in price (if any) between the Starting Price and the Clearing Price;

  • Extra Premium means an additional amount charged by Us, as per Our Underwriting Policy, which is determined on the basis of disclosures made by You in the Proposal Form or any other information received by Us including medical examination report of the Life Insured.

  • Net Premium means the premium, net of reinsurance premiums paid, HRA and GME payments, and MCO tax expenses.

  • Redemption Premium means (i) in the case of the Events of Default described in Section 4(a)(i) - (vi) and (ix) - (xii), 125% or (ii) in the case of the Events of Default described in Section 4(a)(vii) - (viii), 100%.

  • Annual Premium means an amount specified in the Schedule, which is payable under the annual Premium payment mode under this Policy, excluding Extra Premium, if any and excluding service tax or any other taxes, cesses or levies, if any;

  • Maximum Premium has the meaning set forth in Section 7.06(b).

  • Annualised Premium means the premium amount payable in a year chosen by the policyholder, excluding the taxes, rider premiums, underwriting extra premiums and loadings for modal premiums, if any as specified in the Schedule.

  • Net Written Premium means direct premium written on the Policies covered by this Agreement plus additions, less refunds and return premium for cancellations and reductions (but not dividends) and less premium paid or payable for reinsurance that inures to the benefit of the Participating Companies.

  • Risk Premium means a percentage determined on an Adjustment Day for the Adjustment Period beginning on such Adjustment Day, which indicate the price of the risks taken over by the Issuer. The determination will be made by the Issuer in its reasonable discretion (billiges Ermessen § 315 German Civil Code (BGB)). The respective

  • Regular Premium means the amount exclusive of applicable taxes, if any, payable by the Policyholder at regular intervals during the Premium Paying Term, in amount and at the Premium Payment Frequency, both, as specified in the Schedule.

  • Insurance Premium means the amount that each Debtor shall pay on a monthly basis to Agos pursuant to the relevant Consumer Loan Agreement, in relation to the insurance premium paid by Agos to the relevant Insurance Company under any Financed Insurance Policy.

  • Make-Whole Premium means, with respect to a Note at any redemption date, the greater of:

  • Net earned premium as used herein is defined as gross earned premium of the Company for the classes of business reinsured hereunder, less the earned portion of premiums ceded by the Company for reinsurance which inures to the benefit of this Contract.

  • Single Premium means the Premium amount specified in the Schedule payable in Lump Sum at the inception of the Policy. No further Premiums are payable under this Policy.

  • Prepayment Premium means, with respect to the Mortgage Loan, any prepayment premium, spread maintenance premium, yield maintenance premium or similar fee required to be paid in connection with a prepayment of the Mortgage Loan pursuant to the Mortgage Loan Documents, including any exit fee.

  • Optional Redemption Premium means, with respect to any Series, the premium (expressed as a percentage of the Liquidation Preference of the shares of such Series) payable by the Fund upon the redemption of MuniFund Term Preferred Shares of such Series at the option of the Fund, as set forth in the Appendix for such Series.

  • Yield Maintenance Premium means the amount (if any) which, when added to the remaining principal amount of the Note or the principal amount of a Defeased Note, as applicable, will be sufficient to purchase U.S. Obligations providing the required Scheduled Defeasance Payments.

  • Spread Maintenance Premium means, with respect to any payment or prepayment, an amount equal to the product of the following: (i) the LIBOR Margin, the Alternate Rate Spread or the Base Rate Spread then applicable to each such future installment of interest, multiplied by (ii) the principal amount of the Loan so prepaid, and multiplied by (iii) a fraction, the numerator of which is the number of days following the date through which interest on the prepaid amount has been paid through and including December 14, 2019, and the denominator of which is 360.

  • Prepayment Premium Period means the period during which, if a prepayment of principal occurs, a prepayment premium will be payable by Borrower to Lender. The Prepayment Premium Period is the period from and including the date of this Note until but not including the first day of the Window Period.

  • Base premium rate means, for each class of business as to a rating period, the lowest premium rate charged or that could have been charged under the rating system for that class of business by the small employer carrier to small employers with similar case characteristics for health benefit plans with the same or similar coverage.

  • SO2 Allowance means “allowance” as defined at 42 U.S.C. § 7651a(3): “an authorization, allocated to an affected unit by the Administrator of EPA under Subchapter IV of the Act, to emit, during or after a specified calendar year, one ton of sulfur dioxide.”

  • Deposit Premium means a provisional premium which is agreed upon in the event of it being impossible at the due date of the premium to determine the exact premium, and which represents a reasonable estimate of the premium;

  • Premium Due Date means date specified in the Schedule on which the Instalment Premium will become due.

  • Standard Premium means the basic premium for the coverage under this Certified Plan, as charged by the Company to the Policy Holder on an overall Portfolio basis, which may be adjusted in accordance with the Age, gender and/or lifestyle factors of the Insured Person.
