Effective Price Per Share definition

Effective Price Per Share means the Exercise Price at which shares of Common Stock or Other Securities were issued hereunder, as subsequently adjusted pursuant to this Section 3.4(b). Notwithstanding the foregoing, a Triggering Issuance shall not include any options to purchase shares of Common Stock (or any shares issued in connection therewith) or other form of incentive equity granted or issued under the Company’s 2009 Equity Compensation Plan, or any shares of Common Stock issued to a strategic partner or licensee in connection with a joint venture, strategic alliance, licensing agreement, or other similar form of agreement.
Effective Price Per Share means $8.00, as subsequently adjusted pursuant to this Section 5.3. Effective Price Per Share means (i) if only shares of Company Common Stock are sold in a transaction, the aggregate gross amount received in cash by the Company or Seller, as applicable, therefor and (ii) if shares of Company Common Stock are sold in a transaction and, in connection therewith Additional Rights are sold or otherwise issued, the aggregate gross amount received in cash by the Company or Seller, as applicable, for the shares of Company Common Stock and Additional Rights, reduced by the aggregate fair market value of the Additional Rights (as determined using the Black-Scholes option pricing model or another method determined by the Company in good faith), in each case divided by the number of shares of Company Common Stock issued in such transaction.

Effective Price Per Share means, with respect to Common Stock Equivalents, the exercise, exchange or conversion price (in addition to the consideration received by the Company upon such sale or issuance) of a Common Stock Equivalent, and with respect to Common Stock, the aggregate consideration per share received by the Company for such Common Stock.
