Effect on Prior Agreement. Upon the effectiveness of this Agreement, the Prior Agreement shall be superseded and replaced in its entirety by this Agreement and shall be of no further force or effect.

Effect on Prior Agreement. Upon the execution and delivery of this Agreement by the Company, the Common Holders performing services for the Company holding a majority of the shares of Common Stock then held by the Common Holders, and the holders of at least a majority in interest of the shares of Series B Preferred Stock held by the Investors, the Prior Agreement automatically shall terminate and be of no further force and effect and shall be amended and restated in its entirety as set forth in this Agreement. Effect on Prior Agreement. As of the Effective Date, this Agreement constitutes the entire agreement and understanding between the Parties to this Agreement and supersedes all prior and contemporaneous agreements, promises, negotiations and understandings between the Parties, whether oral or written, express or implied with respect to the subject matter of this Agreement.
Effect on Prior Agreement. This Agreement shall completely supercede the Prior Agreement between the Company and the Executive and the Prior Agreement shall have no further force or effect. BCBSUW shall be a third party beneficiary of this Section 11.5.
Effect on Prior Agreement. Although this Agreement is a substitution for and replaces the Prior Agreement, Executive, Company and Shonac agree that this substitution and replacement will not be treated as a termination of the Executive's employment under the Prior Agreement or under any compensation or benefit arrangement in which Executive participated or benefited. However, Executive's compensation and any other benefits of continuing employment for 2002 will be governed by the terms of this Agreement and not the terms of the Prior Agreement.
Effect on Prior Agreement. Except as set forth above, all provisions of the T&O Agreement shall remain in full force or effect.
Effect on Prior Agreement. Upon the execution and delivery of this Agreement by (a) the Company, (b) the Key Holders and Founders holding a majority of the shares of Transfer Stock held by all of the Key Holders and Founders who are providing services to the Company as officers, employees or consultants as of the date of this Agreement and (c) the Requisite Investors (as defined in the Prior Agreement and measured before giving effect to any purchase of shares of Series E Preferred Stock or Series E-1 Preferred Stock by such Investors), the Prior Agreement automatically shall terminate and be of no further force and effect and shall be amended and restated in its entirety as set forth in this Agreement.
