The Operator shall perform all duties necessary to operate the Company's day-to-day activities including, but not limited, to the following: (a) taking all reasonable steps necessary or desirable in the Operator's business judgment after consulting with the Advisory Committee, within or outside the United States, to ensure that (i) the Company's copyrights do not enter the public domain before their statutory expiration, its patents and material trademarks are not deemed abandoned, and its confidential business information does not lose trade secret status, (ii) the Company has, at all times, all authorizations and approvals necessary to exploit fully all of its rights in the Library Rights and Library Tangible Assets (both terms as defined in the Asset Purchase Agreement) and in any new program (whether produced or yet to be produced), (iii) the Company makes all filings with any Governmental Authority necessary or desirable to preserve or protect its material rights in any intellectual property, whether owned or licensed, such filings may include, without limitation, an application for the registration of an owned copyright or trademark, the recordation of the Company's interest in the intellectual property rights of a third party, and the registration of the Company as a registered user of a third party's intellectual property rights, and (iv) no copyright, trademark, patent, trade secret or similar intellectual property right of the Company is infringed by any third party; (b) monitoring performance by third party licensees under all licensing agreements; (c) overseeing new programs; (d) investing the proceeds received from any license agreement as such proceeds become available, subject to the terms of this Agreement and the guidelines established by the Advisory Committee from time to time; and (e) preparing all Tax returns and filings.
Duties of Operator. To the extent agreed to among the parties and from time to time as necessary, the duties to be performed by the Operator (acting in its individual corporate capacity and not in its capacity as sole general partner of the Partnership) shall be those which 2 are normal and customary for an operator of oil and gas properties, including, but not limited to: (i) the payment of rentals, shut-in royalties and other similar fees; (ii) the administration, maintenance and compliance with leasehold and contract rights; (iii) the reporting, recording and reconciliation of production; (iv) the administration of spacing and other regulatory requirements; (v) the day-to-day administration of notices, requests and recommendations; and (vi) the general day-to-day oversight of legal, land, engineering, exploration, accounting and other professional services required in the normal and customary support, maintenance and operation of oil and gas properties. It is not the intent of the parties that the Operator be responsible for the overall administration of the Partnership's properties. At no time shall the Operator's duties be considered to replace the Partnership's responsibilities as owner and administrator of its interests in the Properties. Except with respect to expenditures for special projects as approved in advance by the parties hereto, the reimbursement of actual out-of-pocket expenses and overhead costs or as otherwise specifically provided for in the Operating Agreement, no charges or fees shall be paid to the Operator for its services hereunder.

OPERATOR has obtained all necessary FCC licenses for operation of such a REPEATER, and will maintain and keep them valid. The REPEATER shall be licensed in the name of OPERATOR to transmit on the frequency 462.675 MHz, and to be utilized or operated by properly licensed radio equip- ment transmitting on the frequency 467.675 MHz. OPERATOR shall carry out all duties and responsibilities as the REPEATER licensee under the FCC Rules and Regulations.
