Dutch Guarantor definition

Dutch Guarantor means each Restricted Subsidiary of the Designated Company organized under the laws of the Netherlands party hereto as a Guarantor, and each other Restricted Subsidiary of the Designated Company organized under the laws of the Netherlands that becomes a Guarantor pursuant to the terms hereof.

Dutch Guarantor means any Guarantor organized under Dutch law.

Dutch Guarantor means any Guarantor incorporated in the Netherlands.

• The guarantee of any Additional Guarantor that is not an Austrian Guarantor, a Belgian Guarantor, a Dutch Guarantor, a Finnish Guarantor, a German Guarantor or a US Guarantor shall be subject to any limitation relating to that Additional Guarantor as set out in any relevant Accession Letter and agreed by the Agent (acting reasonably).

• The guarantee of any Dutch Guarantor shall be deemed to have been given only to the extent that such guarantee does not violate the prohibition on financial assistance contained in Sections 2:98c and 2:207c of the Dutch Civil Code (Burgerlijk Wetboek).

• Each Dutch Guarantor hereby confirms that the Guarantee and any other acts constituted by any of the Finance Documents to which it is a party will not or is not intended to constitute unlawful financial assistance within the meaning of Section 2.207c or 2.98c of the Dutch Civil Code which could be invoked by such Dutch Guarantor.

• We have assumed that the Extracts and the Insolvency Register Searches fully and accurately reflect the corporate status and position of each Dutch Guarantor.

Dutch Guarantor means each of the parties as set out in Part II of Schedule 1 (Original Guarantors) named as Dutch Guarantors and any Acceding Guarantor incorporated in The Netherlands.
