Drag-Along Transaction has the meaning set forth in Section 4(d)(i) of the Stockholder Agreement.

• If some or all of the consideration received from such Drag-Along Transaction is other than cash, then such consideration shall be deemed to have a dollar value equal to the fair market value of such consideration, as determined by the General Partner.
