The Notice shall contain written notice of the exercise of the Drag-Along Right pursuant to this Section 8.6, setting forth the consideration to be paid by the Drag-Along Purchaser and the other material terms and conditions of the Drag-Along Sale.
The failure of the Company in any instance to exercise the First Refusal Right, or the Drag-Along Right shall not constitute a waiver of any such rights that may subsequently arise under the provisions of this Agreement or any other agreement between the Company and Recipient.
The transfer of such shares shall not occur unless the transferee agrees in writing to be bound by the terms of this Agreement, including, without limitation, the First Refusal Right, the Market Stand-Off, the Drag-Along Right and the Lock-Up Agreement.
