First Data shall also be responsible for long-term disability benefits for any Domestic Business Employee who is receiving weekly short-term disability benefits as of the Distribution Date and who becomes eligible for long-term disability benefits thereafter, provided that the total disability relates to the same condition for which weekly short-term disability benefits were paid and, provided further, that such long-term disability benefits are payable under an insurance contract.
Western Union shall assume and be solely responsible for all other claims for long-term disability payable on or after the Distribution Date with respect to any Business Employee and shall continue to be responsible for all claims for short-term disability benefits for any Domestic Business Employee, without regard to when the disability occurred.
All Liabilities in respect of any Domestic Business Employee who does not become a Domestic Transferred Employee shall constitute LBHI Liabilities.
First Data shall continue to be responsible after the Distribution Date for all claims for long-term disability incurred prior to the Distribution Date by any non-union Domestic Business Employee who is absent from active employment due to a total disability, as defined in the First Data Corporation Health and Welfare Benefit Plan, on or prior to the Distribution Date to the extent that such long-term disability benefits are provided under an insurance contract.
Any Domestic Business Employee whose employment terminated prior to the Cessation Time for any reason and who elected or is eligible to elect, pursuant to a Kxxxxxxx-Xxxxx-sponsored continuation plan or rights under COBRA or any comparable state law, to continue participation in any Welfare Plan in which he/she was enrolled on the applicable date of termination.
Xxxxxxxx-Xxxxx shall continue to be responsible after the Distribution Date for administering all claims for workers’ compensation reported by a Domestic Business Employee prior to the Distribution Date under the terms of any Xxxxxxxx-Xxxxx workers’ compensation policy or plan; however, Halyard shall reimburse, and shall indemnify Xxxxxxxx-Xxxxx, or its subsidiaries or Affiliates, for any amounts payable under such claims.
Any Domestic Business Employee whose employment terminated on or prior to the Effective Time due to retirement and who elected or is eligible to elect retiree medical and/or retiree life insurance benefits under the Xxxxxxxx-Xxxxx Retiree Medical and/or Retiree Life Insurance Plan.
Any Domestic Business Employee whose employment terminated prior to the Cessation Time due to retirement and who elected or is eligible to elect, pursuant to a Kxxxxxxx-Xxxxx-sponsored continuation plan or rights under COBRA, or any comparable state law, to continue participation in any Welfare Plan.
Any Domestic Business Employee receiving fully insured benefits on a Xxxxxxxx-Xxxxx long-term disability insurance plan as of the Distribution Date shall continue to be covered under such policy (pursuant to the terms thereof) but subject to reimbursement by Halyard as provided in Sections 3.01(b) and 3.03(a).
