Dollar 144A Global Note definition

Dollar 144A Global Note means a Dollar Global Note substantially in the form of Exhibit A bearing the Global Note Legend and the Private Placement Legend and deposited with the Custodian and registered in the name of Cede & Co., as nominee for DTC, that will be issued in a denomination equal to the outstanding principal amount of the Dollar Notes sold in reliance on Rule 144A.

Examples of Dollar 144A Global Note in a sentence

  • If the holder of a beneficial interest in any Dollar Regulation S Global Note at any time wishes to transfer such interest to a Person who wishes to take delivery thereof in the form of a beneficial interest in any Dollar 144A Global Note, such transfer may be effected only in accordance with this clause (iii) and the Applicable Procedures.

  • Regulation S Permanent Global Note means a permanent Global Note in the form of Exhibit A1 hereto bearing the Global Note Legend and the Private Placement Legend and deposited with or on behalf of and registered in the name of the Depositary or its nominee, issued in a denomination equal to the outstanding principal amount of the Regulation S Temporary Global Note upon expiration of the Restricted Period.

  • Global Note shall have the meaning specified in Section 2.05(b).

  • Restricted Global Note means a Global Note bearing the Private Placement Legend.
