Director Meeting Fees definition

Director Meeting Fees means attendance fees, if any, payable in cash for each meeting of the Board attended by the Director or any committee meeting the Director attends for a committee on which such Director serves.

  • To the extent provided in the Deferral Agreement in effect for any Plan Year, a Participant may elect to defer the right to receive: (i) Board Retainer Fees stated as a whole percentage or a dollar amount of such fees; and/or (ii) Director Meeting Fees on an all or nothing basis.

  • This Plan is established and maintained by the Company to allow non-employee Directors to defer payment of all or a portion of their annual Board Retainer Fees and/or Director Meeting Fees.

  • Meeting Fees means fees for attending a meeting of the Board or one of its Committees as set forth in Section 5.3 hereof.

(the “Option Procedures”).

  • General Meeting means the annual or any special general meeting of the Association.

  • Annual Retainer for a particular Director means the retainer (including any additional amounts payable for serving as lead Director or on any committee of the Board), payable to that Director for serving as a Director for the relevant Remuneration Period, as determined by the Board;

  • Members meeting means an annual members meeting or special meeting of members.

  • Director Fees means the total compensation (including annual retainer and meeting fees, if any) paid by the Corporation to a Director in a calendar year for service on the Board;

  • Open meeting or "public meeting" means a meeting at which the public may be present.

  • Virtual Meeting means any general meeting of the Shareholders (or any meeting of the holders of any Class of Shares) at which the Shareholders (and any other permitted participants of such meeting, including without limitation the chairman of the meeting and any Directors) are permitted to attend and participate solely by means of Communication Facilities.

  • Stockholder Meeting means each annual or special meeting of stockholders of the Company, or any action by written consent of the Company’s stockholders in lieu thereof, and any adjournment, postponement, rescheduling, continuation or meeting held in lieu thereof;

  • Meeting Date means the date of the Meeting;

  • ordinary meeting means a meeting held by determination of the Board (SER r.115(1)).

  • Retainer Fee means Fees prepaid by Client for Services. If Client has paid a Retainer Fee, IHS will deduct from that Retainer Fee any Fees owed for any Fixed, Time-Based, or Unit-Based Services.

  • Kick Off Meeting means a meeting convened by the Purchaser to discuss and finalize the work execution plan and procedures with the ITC.

  • Shareholders Meeting has the meaning provided in Section 6.3.
