Direct Listing definition

Direct Listing means the Company’s initial listing of its Common Stock (other than shares of Common Stock not eligible for resale under Rule 144 under the Securities Act) on a national securities exchange by means of an effective registration statement on Form S-1 filed by the Company with the SEC that registers shares of existing capital stock of the Company for resale, as approved by the Company’s board of directors. For the avoidance of doubt, a Direct Listing shall not be deemed to be an underwritten offering and shall not involve any underwriting services.
Direct Listing means the Company’s initial listing of its Common Stock on a national securities exchange by means of an effective registration statement on Form S-1 filed by the Company with the SEC that registers shares of existing capital stock of the Company for resale to the general public.
Direct Listing means the consummation of the direct listing or direct placement of Common Stock in a publicly traded exchange, as a result of or following which the Common Stock will be publicly held and listed on a Stock Exchange.

Examples of Direct Listing in a sentence

  • A “Share Owner” shall be the owner of any number of Direct Listing Shares and may refer both (i) to us (to the extent that we own either the Direct Listing Shares or any Unsold Shares) and (ii) to any Transferee.

  • We are signing this Direct Listing Order to list the Direct Listing Shares that we wish to sell at a price per Share within the Direct Listing Price Range set out further to clause 2.3 below.

  • Two vesting requirements must be satisfied on or before the Expiration Date specified above in order for an RSU to vest: (i) a requirement that you provide Service over the period of time set forth in “Service-Based Requirement” below and (ii) a requirement that the Company complete either an IPO, Direct Listing, SPAC Transaction or Sale Event as set forth in “Liquidity Event Requirement” below.
